A RESOLUTION AUTHORIZING THE MAYOR AND VILLAGE CLERK TO EXECUTE
AN INTERGOVERNMENTAL AGREEMENT BETWEEN THE VILLAGE OF ELK
GROVE VILLAGE AND THE ELK GROVE TOWNSHIP ROAD DISTRICT FOR THE
PURCHASE OF ROAD SALT FROM THE VILLAGE OF ELK GROVE VILLAGE FOR
THE 2020/2021 WINTER SEASON
NOW, THEREFORE, BE IT RESOLVED by the Mayor and Board of Trustees of the
Village of Elk Grove Village, Counties of Cook and DuPage, State of Illinois as follows:
Section 1: That the Mayor be and is hereby authorized to sign the attached documents
marked:
INTERGOVERNMENTAL AGREEMENT BETWEEN
THE ELK GROVE TOWNSHIP ROAD DISTRICT
AND
THE VILLAGE OF ELK GROVE VILLAGE
a copy of which is attached hereto and made a part hereof as if fully set forth and the Village Clerk
is authorized to attest said documents upon the signature of the Mayor.
Section 2: That this Resolution shall be in full force and effect from and after its passage
and approval according to law.

INTERGOVERMENTAL AGREEMENT BETWEEN
ELK GROVE TOWNSHIP ROAD DISTRICT
AND
THE VILLAGE OF ELK GROVE VILLAGE
This INTERGOVERNMENTAL AGREEMENT (hereinafter referred to as the
"AGREEMENT") is entered into this day of AD, 2020, by and between
VILLAGE OF ELK GROVE VILLAGE, hereinafter called the "VILLAGE" and the ELK
GROVE TOWNSHIP ROAD DISTRICT, hereinafter called the "EGT ROAD DISTRICT".
WITNESSETH
WHEREAS, the EGT ROAD DISTRICT maintains unincorporated roadways in the
Village and various other communities in the northwest suburbs and is in need of acquiring road
salt for the 2020/2021 winter season.
WHEREAS, the VILLAGE owns, operates and maintains two Public Works salt storage
facilities within the Village and has the capacity to assist.
WHEREAS, the EGT ROAD DISTRICT is desirous of purchasing approximately 200 tons
of road salt from the VILLAGE for the upcoming 2020/2021 winter season.
NOW THEREFORE, in consideration of the mutual covenants contained herein, the parties
agree as follows:
1. The EGT ROAD DISTRICT agrees to pay the Village $55.00 per ton for untreated road
salt consumed during the 2020/2021 winter season.
2. The VILLAGE agrees to provide contact information for the appropriate snow operations
personnel to allow the EGT Road District 24/7 access to the road salt facilities.
3. The VILLAGE agrees to utilize Village personnel to load the road salt with Village owned
equipment, like front end loaders, to avoid EGT Road District personnel from utilizing
Village equipment during the loading process.
4. The VILLAGE staff agrees to accurately record the tonnage used by the EGT ROAD
DISTRICT and to provide the EGT Road District with invoices following each
salting/snow event.
5. The EGT ROAD DISTRICT agrees to pay the Village within thirty (30) days of receipt of
each invoice.
6. Funding for the agreement shall be the responsibility of the EGT ROAD DISTRICT and
the VILLAGE shall incur no costs for any of the work described herein.
7. Upon acceptance of the work included herein, the VILLAGE shall continue to own, operate
and maintain the road salt (except that road salt sold to and purchased by the EGT ROAD
DISTRICT) and storage facilities.

8. Indemnification and Waiver of Claims. To the extent permitted by law, the EGT ROAD
DISTRICT shall protect, indemnify, defend and save harmless the VILLAGE, its Trustees,
officers, agents, servants and employees from and against any and all liabilities, losses,
damages, costs, expenses, attorney fees, causes of actions, suits, claims, damages or
judgments of any nature whatsoever arising from the EGT ROAD DISTRICT'S use of
VILLAGE facilities. To the extent permitted by law, the EGT ROAD DISTRICT hereby
waives all claims for recovery from the VILLAGE, its Trustees, officers, agents, servants
and employees for any loss or damage to any of its personal property arising from this
Agreement. To the extent permitted by law, the VILLAGE shall protect, indemnify, defend
and save harmless the EGT ROAD DISTRICT, its Trustees, officers, agents, servants and
employees from and against any and all liabilities, losses, damages, costs, expenses,
attorney fees, causes of actions, suits, claims, damages or judgments of any nature
whatsoever arising from any negligent or grossly negligent conduct of the VILLAGE or
any or its employees, agents or servants related to its performance of this Agreement.
9. This agreement shall be binding upon and inure to the benefit of the parties hereto, their
successors and assigns.
10. This agreement shall conclude at the end of the 2020/2021 winter snow season or April 30,
2021, whichever is sooner.
IN WITNESS THEREOF, the PARTIES have executed this AGREEMENT on the dates
indicated.
