A RESOLUTION AUTHORIZING THE MAYOR AND VILLAGE CLERK TO
EXECUTE A LETTER CENTER AGREEMENT BETWEEN UNITED PARCEL
SERVICE AND THE VILLAGE OF ELK GROVE VILLAGE
NOW, THEREFORE, BE IT RESOLVED by the Mayor and Board of Trustees of the
Village of Elk Grove Village, Counties of Cook and DuPage, State of Illinois as follows:
Section 1: That the Mayor be and is hereby authorized to sign the attached documents
marked:
LETTER CENTER AGREEMENT
a copy of which is attached hereto and made a part hereof as if fully set forth and the Village
Clerk is authorized to attest said documents upon the signature of the Mayor.
Section 2: That this Resolution shall be in full force and effect from and after its
passage and approval according to law.

LETTER CENTER AGREEMENT
This Agreement gives United Parcel Service the right to install ten (10) Letter Centers for the
receipt of UPS envelopes and packages in Village parkways. Said locations for the Letter
Centers are identified on Exhibit A of this Agreement, and UPS shall continually notify the
Village in writing of any changes to the locations of the Letter Centers if one should occur.
In consideration, UPS hereby agrees to pay the Village of Elk Grove the annual fee of
$325.00 per Letter Center for a total of $3,250.00. Said fee shall be paid upon the execution
of this Agreement and shall be due in full on or before the effective date each year.
The terms of this Agreement shall be for a three-year period effective September 14, 2004.
Either party may cancel this Agreement with 30 days written notice. Any modifications or
amendments to this Agreement require the written approval of both parties. If the Agreement
is canceled by the Village, the Village shall refund to UPS the balance of fees paid in advance
on a pro -rated basis.
The aforementioned Letter Centers shall be installed and maintained at the sole expense of
UPS.
UPS agrees to indemnify and hold harmless the Village of Elk Grove against any loss or
damage to third persons and property resulting directly from the installation and use of the
Letter Centers and not resulting from the negligent or wrongful acts of Elk Grove Village, its
agents, employees or servants.
