HomeMy WebLinkAboutRESOLUTION - 43-02 - 10/8/2002 - SECOND AMEND/MEMORAND OF UNDERSTANDINGRESOLUTION NO. 43-02 A RESOLUTION AUTHORIZING THE MAYOR AND VILLAGE CLERK TO EXECUTE THE SECOND AMENDMENT TO THE MEMORANDUM OF UNDERSTANDING ADOPTED BY JOINDER BY RESOLUTION NO. 33-02 FOR PRE -DEVELOPMENT SERVICES FOR THE DEVELOPMENT OF THE SOUTH SUBURBAN AIRPORT NOW, THEREFORE, BE IT RESOLVED by the Mayor and Board of Trustees of the Village of Elk Grove Village, Counties of Cook and DUPage, State of Illinois as follows: Section 1: That the Mayor be and is hereby authorized to sign the attached documents marked: SECOND AMENDMENT TO MEMORANDUM OF UNDERSTANDING a copy of which is attached hereto and made a part hereof as if fully set forth and the Village Clerk is authorized to attest said documents upon the signature of the Mayor of Elk Grove Village. Section 2: That this Resolution shall be in full force and effect from and after its passage and approval according to law. VOTE: AYES: 4 NAYS: 0 ABSENT: 2 PASSED this 8th day of October 2002. Johnson, Mayor RESairportjoinderl FirstAmend.doc SECOND AMENDMENT TO MEMORANDUM OF UNDERSTANDING This Second Amendment to Memorandum of Understanding (this "Amendment") is made and entered into as of this 6th day of September, 2002, by and among the VILLAGE OF BENSENVILLE, ILLINOIS (`Bensenville"), the VILLAGE OF ELK GROVE, ILLINOIS ("Elk Grove"), and the CITY OF PARK RIDGE, ILLINOIS ("Park Ridge"; Bensenville, Elk Grove and Park Ridge being collectively referred to as "Sponsor"), and LCOR HOLDINGS LLC, a Delaware limited liability company ("LCOR'). WITNESSETH: WHEREAS, Bensenville, LCOR and Hochtief Airport ("Hochtief') entered into that Memorandum of Understanding dated July 7, 2002 (as now or hereafter amended or modified, the "MOU"); and WHEREAS, pursuant to that Joinder to Memorandum of Understanding dated July 15, 2002, Park Ridge joined in the MOU as an additional entity constituting the Sponsor; and WHEREAS, pursuant to that Joinder to Memorandum of Understanding dated July 23, 2002, Elk Grove joined in the MOU as an additional entity constituting the Sponsor; and WHEREAS, pursuant to that letter agreement among the parties to the MOU and dated July 24, 2002 (the "First Amendment"), LCOR and Hochtief accepted and acknowledged the Joinders of Park Ridge and Elk Grove, and the parties to the MOU amended certain provisions of the MOU. NOW, THEREFORE, in consideration of the covenants and agreements contained in the MOU and this Amendment, and for other good and valuable consideration, the receipt and sufficiency of which the parties to this Amendment acknowledge, the parties agree as follows: 1. The phrase "sixty (60) days" set forth in Paragraphs V.A. and VI.I. of the MOU, as modified by to the First Amendment, is hereby changed to "seventy-five (75) days" in both places. 2. The parties agree that LCOR shall act as the sole Developer(s) pursuant to the MOU from and after the date hereof. 3. Capitalized terms not otherwise defined herein shall have the meanings set forth in the MOU. 4. Except as modified herein, all remaining terms and conditions of the MOU shall remain in full force and effect. 5. This Second Amendment may be executed in counterparts, each of which shall be deemed to be an original.
