HomeMy WebLinkAboutRESOLUTION - 8-01 - 2/13/2001 - LETTER OF UNDERSTANDING/VERIZON WIRELESS RESOLUTION NO. 8-01 A RESOLUTION AUTHORIZING THE MAYOR AND VILLAGE CLERK TO EXECUTE A LETTER OF UNDERSTANDING AUTHORIZING VERIZON WIRELESS (SMSA LIMITED PARTNERSHIP) TO ASSIGN PARTIAL OWNERSHIP INTEREST OF A WIRELESS ANTENNA TOWER TO CROWN CASTLE GT (1751 GREENLEAF AVENUE) NOW, THEREFORE, BE IT RESOLVED by the Mayor and Board of Trustees of the Village of Elk Grove Village, Counties of Cook and DuPage, State of Illinois as follows : Section 1: That the Mayor be and is hereby authorized to sign the attached documents marked: LETTER OF UNDERSTANDING CHICAGO SMSA LIMITED PARTNERSHIP (the Partnership) SITE NO. IL-0335 AGREEMENT; GROUND LEASE AGREEMENT DATED AUGUST 8, 1996 a copy of which is attached hereto and made a part hereof as if fully set forth and the Village Clerk is authorized to attest said documents upon the signature of the Mayor. Rummel Assistant Village Manager Re: Chicago SMSA Limited Partnership(the"Partnership"); Site No.IL-0335 Agreement: Ground Lease Agreement dated August 8, 1996 Dear Mr. Rummel: The Partnership intends to transfer and assign all of its rights and obligations under the referenced agreement,and any amendmentsthereto(collectively,the"Agreement"),to Crown Castle GT Company LLC, a subsidiary of Crown Castle International Corp., a preeminent tower management company, so that the Partnership can concentrate its efforts on theoperation of its wireless communications business. Uponsuch transfer and assignment, Crown Castle GT will become the other party to the Agreement and will be operating and managing approximately three thousand towers using professionals experienced in the management of towers and related real estate. The Partnership will continue to use the Site as it currently does. Neither the Partnership nor Crown Castle GT is seeking to modify any existing rights with respect to the premises enjoyed by the Partnership. Upon the closing of the transaction described above,Crown Castle GT will become responsible for all obligations under the Agreement,but the Partnership will remain liable to you for the payment of all sums due under the Agreement. Shortly after the closing, you will receive a follow-up letter providing contract and address information for Crown Castle GT. By this letter,the Partnership requests your consent to(i)the assignment of all of the Partnership's rights and obligationsunderthe Agreement(including the premises described therein)to Crown Castle GT in connection with the transfer, and(ii)the subletting by Crown Castle GT to the Partnership .and ethem ef spare on ilie tower andthe•premises.
