HomeMy WebLinkAboutRESOLUTION - 25-01 - 5/22/2001 - GRANT AGREEMENT/SPONSORSHIP AGREEMENTRESOLUTION NO. 25-01 A RESOLUTION AUTHORIZING THE MAYOR AND THE VILLAGE CLERK TO EXECUTE A GRANT AGREEMENT AND A SPONSORSHIP AGREEMENT WITH RESPECT TO THE VILLAGE ACTING AS A SPONSOR/RECIPIENT OF FUNDS FOR THE LUTHERAN SCHOOL OF THE HOLY SPIRIT WITH RESPECT TO THE NOISE IMPLEMENTATION AND SOUNDPROOF PROGRAM BE IT RESOLVED by the Mayor and Board of Trustees of the Village of Elk Grove Village, Counties of Cook and DuPage Illinois as follows: Section 1: That the Mayor be authorized to execute a Sponsorship Agreement between the Village of Elk Grove Village and the Lutheran School of the Holy Spirit and a Grant Agreement for the Federal Aviation Administration and that the Village Clerk and Village Attorney, where indicated, be authorized to attest to and to certify the signature of the Mayor and the information contained in said document. Section 2: That this Resolution shall be in full force and effect from and after its passage and approval according to law. VOTE: AYES: 6 NAYS: 0 ABSENT: 0 PASSED this 22nd day of May 2001. Thompson Deputy Village Clerk SPONSORSHIP AGREEMENT This Agreement is made and entered into by and between the Village of Elk Grove Village, an Illinois Municipal Corporation (hereinafter referred to as "Village") and the Lutheran School of the Holy Spirit. WHEREAS, the Lutheran School of the Holy Spirit pursuant to a project application dated January 18, 2001 is the recipient of a Grant Allocation in an amount not to exceed $828,000 for the soundproofing of the school under the applicable noise program implementation plan; and WHEREAS, the Lutheran School of the Holy Spirit is unable to be a direct recipient of the Project and Grant Fund and it is therefore necessary that the Village wherein the school is located act as sponsor for the receipt of applicable funds; and WHEREAS, as sponsor, it is necessary for the Village to enter into various agreements including a Grant Agreement as required by the Federal Aviation Administration for and on behalf of the United States which Agreement ratifies and adopts various assurances and statements made by the school in its Project Application; and WHEREAS, the Lutheran School of the Holy Spirit, as the recipient of the funds and grants as well as being the executing party of the Project Application understands and agrees that it is principally responsible for the acts of all third parties, contractors, architects and other firms or entities involved with the expenditure of the Grant Fund and that the Village, as a sponsor and not a direct participant in the program, should be held harmless for any and all liability, damage or responsibility of whatsoever nature. NOW, THEREFORE, in consideration of the mutual benefits herein above set forth which will accrue to the parties of this Agreement, it is mutually agreed as follows: 1. That the above-cited preamble recitations are made a part of this Agreement. 2. That the Lutheran School of the Holy Spirit hereby holds the Village of Elk Grove Village harmless from any and all damages, injuries, omissions and obligations of any nature with respect to the implementation of the Soundproofing Noise Program at the Lutheran School of the Holy Spirit, 150 Lions Drive, Elk Grove Village, Illinois notwithstanding the fact that the Village of Elk Grove Village is acting as a designated sponsor and named recipient of Project Grants and Allocations.
