HomeMy WebLinkAboutRESOLUTION - 27-01 - 6/12/2001 - LETTER OF UNDERSTANDING/SWANCCRESOLUTION NO. 27-01 A RESOLUTION AUTHORIZING THE MAYOR AND VILLAGE CLERK TO EXECUTE A LETTER OF UNDERSTANDING BETWEEN THE VILLAGE OF ELK GROVE VILLAGE AND THE SOLID WASTE AGENCY OF NORTHERN COOK COUNTY (SWANCC) NOW, THEREFORE, BE IT RESOLVED by the Mayor and Board of Trustees of the Village of Elk Grove Village, Counties of Cook and DuPage, State of Illinois as follows: Section 1: That the Mayor be and is hereby authorized to sign the attached documents marked: REDIRECTION OF THE VILLAGE OF ELK GROVE VILLAGE'S WASTE a copy of which is attached hereto and made a part hereof as if fully set forth and the Village Clerk is authorized to attest said documents upon the signature of the Mayor. Section 2: That this Resolution shall be in full force and effect from and after its passage and approval according to law. VOTE: AYES: 5 NAYS: 0 ABSENT: 1 PASSED this 12th day of June , 2001. At the request of the Village, the Agency hereby directs the Village, beginning June 4, 2001, to deliver its Financing Member System Waste (as defined in the 1992 Project Use Agreement between the Agency and the Village, and referred to herein as "Waste") to the Agency at the Groot Transfer Station located at 1759 Elmhurst Road, Chicago, Illinois (the "Groot Facility") instead of to the Agency at the Agency's Wheeling Township Transfer Station in Glenview, Illinois. This action will save the Agency approximately $0.31 for every ton of Waste redirected to the Groot Facility, and the Village understands that those savings will accrue to the Agency and be used for the benefit of the Agency's members. The Village agrees that it will accept full responsibility for any up -front costs incurred by the Agency as a result of the redirection of its Waste to the Agency at the Groot Facility. Specifically, if the Agency requests real-time data regarding delivery totals for Waste delivered to the Groot Facility from the Village rather than next day Waste delivery totals, the Village will pay for all of the costs associated with installing and operating the equipment necessary to meet such request. Johnson Its: 12803911,1 52901 1149C00654571 The Village also agrees to indemnify, defend and hold harmless the Agency and its member municipalities, and their respective officers, directors, agents and employees from any and all losses, damages, liability, expenses or costs (including, without limitation, reasonable attorney's fees) claimed or asserted against or incurred by such indemnities that may arise from or be related to the processing, transportation or disposal of Waste delivered to the Groot Facility by the Village, including, without limitation, for removal or remedial Jf% actions under the Comprehensive Environmental Response, Compensation and 7 Liability Act of 1980 (also knows as "Superfund") and similar state or federal laws or the common law. Sold The Agency reserves the right to cancel the delivery of the Village's Waste Waste to the Agency at the Groot Facility with a thirty (30) day written notice.
