A RESOLUTION AUTHORIZING THE VILLAGE PRESIDENT AND VILLAGE
CLERK TO EXECUTE A LETTER CENTER AGREEMENT BETWEEN FEDERAL
EXPRESS CORPORATION TH TT.T.AGE OF ELK GROVE V7 L LA
NOW, THEREFORE, BE IT RESOLVED by the President and Board of
Trustees of the Village of Elk Grove Village, Counties of Cook and
DuPage, State of Illinois as follows:
Section 1 : That the Village President be and is hereby
authorized to sign the attached documents marked:
LETTER CENTER AGREEMENT
a copy of which is attached hereto and made a part hereof as if fully
set forth and the Village Clerk is authorized to attest said
documents upon the signature of the Village President.
Section 2 : That this Resolution shall be in full force and
effect from and after its passage and approval according to law.

LETTER CENTER AGREEMENT
This Agreement gives Federal Express Corporation the right to install twelve (12) Letter
Centers for the receipt of Federal Express envelopes and packages in Village parkways.
Said locations for the Letter Centers are identified on Exhibit A of this Agreement, and
Federal Express shall continually notify the Village in writing of any changes to the
locations of the Letter Centers if one should occur.
In consideration, Federal Express hereby agrees to pay the Village of Elk Grove the
annual fee of$325.00 per Letter Center for a total of$3,900.00; said fee shall be paid
upon the execution of this Agreement and shall be due on or before the effective date
each year.
The terms of this Agreement shall be for a three year period effective January 27, 1997.
Either party may cancel this Agreement with 30 days written notice. Any modifications
or amendments to this Agreement require the written approval of both parties. If the
Agreement is canceled by the Village, the Village shall refund to Federal Express the
balance of fees paid in advance on a pro-rated basis.
The aforementioned Letter Centers shall be installed and maintained at the sole expense
of Federal Express.
Federal Express agrees to indemnify and hold harmless the Village of Elk Grove against
any loss or damage to third persons and property resulting directly from the installation
and use of the Letter Centers and not resulting from the negligent or wrongful acts of
Elk Grove Village, its agents, employees or servants. ,
