HomeMy WebLinkAboutRESOLUTION - 62-97 - 12/9/1997 - LETTER CENTER AGRMT/AIRBORNE EXPRESS RESOLUTION NO. 62-97 A RESOLUTION AUTHORIZING THE VILLAGE PRESIDENT AND VILLAGE CLERK TO EXECUTE AN AGREEMENT BETWEEN THE VILLAGE OF ELK GROVE VITJ.Ar�W ANn AIRBORNE EXPRESS. INC. NOW, THEREFORE, BE IT RESOLVED by the President and Board of Trustees of the Village of Elk Grove Village, Counties of Cook and DuPage, State of Illinois as follows: Section 1 & That the Village President be and is hereby authorized to sign the attached documents marked: LETTER CENTER AGREEMENT a copy of which is attached hereto and made a part hereof as if fully set forth and the Village Clerk is authorized to attest said documents upon the signature of the Village President . Section 2a That this Resolution shall be in full force and effect from and after its passage and approval according to law. VOTE: AYES 6 NAYS: 0 ABSENT: 0 PASSED this 9th day of December 1997. Smith Village Clerk LETTER CENTER AGREEMENT This Agreement gives Airborne Express, Inc. the right to install one (1) Letter Center for the receipt of Airborne Express envelopes and packages in Village parkways. Said location for the Letter Center is identified on Exhibit A of this Agreement, and Airborne Express shall continually notify the Village in writing of any changes to the locations of the Letter Centers if one should occur. In consideration, Airborne Express hereby agrees to pay the Village of Elk Grove the annual fee of$325.00 per Letter Center for a total of$325.00; said fee shall be paid upon the execution of this Agreement and shall be due on or before the effective date each year. The terms of this Agreement shall be for a three year period effective December 9, 1997. Either party may cancel this Agreement with 30 days written notice. Any modifications or amendments to this Agreement require the written approval of both parties. If the Agreement is canceled by the Village, The Village shall refund to Airborne Express the balance of fees paid in advance on a pro-rated basis. The aforementioned Letter Centers shall be installed and maintained at the sole expense of Airborne Express. Airborne Express agrees to indemnify and hold harmless the Village of Elk Grove against any loss or damage to third persons and property resulting directly from the installation and use of the Letter Centers and not resulting from the negligent or wrongful acts of Elk Grove Village, its agents, employees or servants.
