A RESOLUTION A.UTHORIZIP!G THE VILLAGE PRESIDENT AND VILLAGE
CLERK TO EXECUTE AN AMENDMENT AGREEMENT BETWEEN THE VILLAGE
OF ELK GROVE VILLAGE AND THE SUBURBAN BUS DIVISION (PACE) OF
THE REGIONAL TRANSPORTATION AUTHORITY (DIAL -A -RIDE)
NOW, THEREFORE, BE IT RESOLVED by the President and Board of Trustees
of the Village of Elk Grove Village, Counties of Cook and Du Page, State of
Illinois as follows:
Section 1: That the Village President be and is hereby authorized to
sign the attached documents marked:
AMENDMENT 3 TO LOCAL SHARE AGREEMENT
a copy of which is attached hereto and made a part hereof as if fully set
forth and the Village Clerk is authorized to attest said documents upon the
signature of the Village President.
Section 2: That this Resolution shall be in full force and effect
from and after its passage and approval according to law.

AMENDMENT 3 TO LOCAL SHARE AGREEMENT
THIS AMENDMENT is made effective on the first day of April,
1994, by and between the Suburban Bus Division of the Regional
Transportation Authority ("Pace") and the Village of Elk Grove, an
Illinois corporation ("Municipality").
The Parties hereby agree to amend the Local Share Agreement
executed on July 27, 1993, as amended on December 14, 1993 and
January 17, 1994, to change the language of Paragraph 6B to read as
follows:
"B. The Pace contribution will be the lesser of 75% of the
Total Expense minus fares or $2.50 multiplied by the number of
one way passenger trips during the entire term of this
Agreement."
IN WITNESS WHEREOF, the Parties are authorized and hereby
execute this Amendment 3 to the Local Share Agreement.
