A RESOLUTION ACCEPTING A DEED OF CONVEYANCE/BILL
OF SALE FROM GULLO INTERNATIONAL OFFICE AND INDUSTRIAL
CENTER (STANLEY STREET)
WHEREAS, the Developer, Gullo International Development Corporation
has submitted a Deed of Conveyance/Bill of Sale to the Village of Elk Grove
Village as required by the Subdivision Control Ordinance and fully complied
with all provisions of any and all Ordinances pertaining; and
WHEREAS, the Developer has satisfactorily submitted all necessary
items as required by the Village and has submitted required As-Built
Engineering Plans.
NOW, THEREFORE, BE IT RESOLVED by the President and Board of Trustees
of the Village of Elk Grove Village, Counties of Cook and DuPage, Illinois:
Section 1: That the Village of Elk Grove Village does hereby accept a
Deed of Conveyance/Bill of Sale and Maintenance Guarantee from Gullo Inter-
national Development Corporation on the "Project" known as Gullo Inter-
national Office and Industrial Center, Elk Grove Village, Illinois, 60007
and described on the "As-Built" engineering plans prepared by The Chia
Company, 5732 Gardner Court, Hanover Park, Illinois 60103 dated January 22,
1986 which plans are incorporated by reference and made a part hereof.
Section 2: That this Resolution shall be in full force and effect
from and after its passage and approval according to law.

owner of and has good and marketable title to the aforedescribed improvements; that
the same are free from all encumberances; that the Developer has the right to Sell
the same; and that the Developer warrants and will defend and hold harmless the
Village against the lawful claims and demands of all persons with respect to the
title hereby conveyed; and that the execution of this Bill of Sale/Deed of Con-
veyance is an authorized Act of Said Corporation, Individual or Partnership.

All work required for this development has been inspected and found to
be completed in a satisfactory manner. All documentation for acceptance has been
submitted and found to be acceptable. 2

APPROVAL AND ACCEPTANCE OF GOVERNING AUTHORITY
The VILLAGE OF ELK GROVE VILLAGE does hereby approve and accept for
maintenance and operation the above described improvement. It is understood that
the guarantee period of 24 months shall commence as of the date of Village Board
acceptance.
It is also understood that this approval and acceptance covers only the
specific work indicated above and is subject to a final punch list being made
concerning adjustment, alignment and necessary repairs of all structures, boxes,
hydrants, ect. Acceptance of maintenance by the Village does not relieve the
developer from the responsibility of keeping all dirt and debris due to cons-
truction operations out of both storm and sanitary sewer systems. Final accept-
ance of the subdivision or other general development is conditional upon com-
pleting all indicated items on the final punch list. It is the responsibility
of the owner or developer to request the final punch list to be made. No re-
fund of maintenance escrow monies will be made until all items in the final
punch list have been corrected.

That Gullo International Development of 1260 Landmeier Road, Elk Grove Village, IL
corporation
as Principal, and the EMPLOYERS MUTUAL CASUALTY COMPANY of Des Moines, Iowa as Surety, are held and
firmly bound unto the Village of Elk Grove Village, IL (hereinafter called the Obligee)
in the Penal Sum of Ten Thousand Dollars ($ in, _nnn-00 ) Dollars
lawful money of the United States of America, for the payment of which, well and truly to be made, the Principal
and Surety bind themselves, their and each of their heirs, executors, administrators, successors and assigns,jointly
and severally, firmly by these presents.
Whereas, the said Principal has completed a certain contract, Gullo International Office
& Industrial Center Subdivision - Driveway Entrances
in conformity with certain specifications; and submits said contract for acceptance by the Obligee.
Whereas, a further condition of said contract is that the said principal should furnish a bond of indemnity,
guaranteeing to remedy any defects in workmanship or materials that may develop in said work within a period of
2 years from the date of acceptance of the work under said contract;and
Whereas, the said EMPLOYERS MUTUAL CASUALTY COMPANY of Des Moines, Iowa for a valuable
consideration, has agreed to join with said principal in such bond or guarantee, indemnifying said Obligee, as afore-
said;
Now, therefore, the Condition of This Obligation is such, that if the said Principal does and shall, at his own
cost and expense, remedy any and all defects that may develop in said work, within the period of 2
years from the date of acceptance of the work under said contract, by reason of bad workmanship or poor material
used in the construction of said work, then this obligation to be null and void; otherwise to be and remain in full
force and virtue in law.
