HomeMy WebLinkAboutRESOLUTION - 42-90 - 7/24/1990 - SHARE AGREEMENT/PACERESOLUTION NO. 42-90 A RESOLUTION AUTHORIZING THE VILLAGE PRESIDENT AND VILLAGE CLERK TO EXECUTE AN AGREEMENT BETWEEN THE VILLAGE OF ELK GROVE VILLAGE AND PACE (Dial -A -Ride Bus) NOW, THEREFORE, BE IT RESOLVED by the President and Board of Trustees of the Village of Elk Grove Village, Counties of Cook and DuPage, State of Illinois as follows: Section 1: That the Village President be and is hereby authorized to sign the attached documents marked: "Share Agreement" a copy of which is attached hereto and made a part hereof as if fully set forth and the Village Clerk is authorized to attest said documents upon the signature of the Village President. Section 2: That this Resolution shall be in full force and effect from and after its passage and approval according to law. PASSED this 24th day of July 1990. APPROVED this 24th day of July 1990. Smith Village Clerk AGREEMENT This Agreement is made this 24th day of July, 1990 by and between the Suburban Bus Division of the Regional Transportation Authority (RTA), operating under the name and hereinafter referred to as Pace, an Illinois municipal corporation, and the Village of Elk Grove, an Illinois municipal corporation. The parties, in consideration of the mutual promises hereinafter set forth, hereby agree to the following: 1. As of August 15, 1990 the Village of Elk Grove will participate in a project which provides curb -to -curb bus service within the Village of Elk Grove, exclusive of the Elk Grove Industrial Park areas. 2. Pace will contract with a private carrier to provide the following service: Dial -a -Ride service will be provided in the Village of Elk Grove, Tuesday through Friday, from approximately 9:30 AM to 7:00 PM, and from approximately 9:30 AM to 5:30 PM on Mondays. Service will, on occasion, be provided to 9:00 PM as mutually agreed upon by Pace and the Village of Elk Grove. On the average, a maximum of 25 hours of vehicle service will be provided daily. The dispatcher will notify the passenger of the approximate pick-up time. If a deviation of more than fifteen (15) minutes is expected to occur the dispatcher will notify the passenger of the delay. When the contractor arrives at a pick-up location, they are required to wait two (2) minutes for the passenger to board the vehicle. Before the driver proceeds without a scheduled passenger, the dispatcher is expected to attempt to call the passenger. The contractor will schedule pick-ups and drop-offs to maximize efficiency. However, the contractor will also attempt to minimize a passenger's ride time and insure that riders originating and ending within Elk Grove normally ride no more than thirty minutes. 3. There will be no transportation service on New Year's Day, Memorial Day, July 4th, Labor Day, Thanksgiving Day and Christmas Day. 4. Fares for the services are listed below. All fares are subject to change at the discretion of Pace. Adults $1.10 Reduced $ .55 Transfers $ .10 The reduced fares category includes children ages 7-11, senior citizens (Age 65+) and persons with disabilities who have an RTA Reduced Fare Card or Pace Special Services Card and students (high school or younger with proper identification) to or from school only, during school hours. Children under age 7 can only ride when accompanied by a fare paying passenger (a maximum of two children per fare paying passenger). Children under age 7 can ride free. If the Village of Elk Grove desires that fares be lower for any trips, the passenger will be charged the lower fare and the Village of Elk Grove will be charged the difference between the fares specified in this Agreement and the lower fares. 5. Pace will provide to the Village of Elk Grove, on a monthly basis, a report with the following: A. Ridership for dial -a -ride trips originating and ending within the Village of Elk Grove boundaries; B. Vehicle service hours provided for dial -a -ride service within the Village of Elk Grove as outlined in Section 2 of this Agreement; C. A bill for services provided as outlined in Section 6 of this Agreement. 6. The Village of Elk Grove agrees to reimburse Pace monthly for the Local Share incurred in operating the service described in Section 2 of this Agreement. The Local Share will be calculated in the following manner: A. The Local Share is the balance of the Total Expense, as described in Section 6B, minus fares, minus the Total Pace Contribution. The Village of Elk Grove shall pay Pace within 20 days of receiving the monthly bill. B. The Total Expense of the project will be calculated by multiplying the actual number of vehicle service hours delivered per Section 2 of this Agreement by the hourly rate charged to Pace by the Contractor. Fares will be subtracted from Total Expenses to determine the Operating Deficit. C. The Pace Contribution will be the lesser of the amounts as calculated below: 1) 75% of the actual Operating Deficit; or 2) $2.25 multiplied by the number of one-way passenger trips. 7. Pace agrees that any changes to the services described in Section 2 of this Agreement that will potentially increase the local share commitment of the Village of Elk Grove will not be made without the prior approval of the Village of Elk Grove. S. This agreement will be in effect beginning August 15, 1990 and ending August 14, 1991. 9. This Agreement constitutes the entire Agreement between the parties hereto. Any proposed change in this Agreement shall be submitted to Pace for its prior approval. No modification, addition, deletion, etc., to this Agreement except as to minor service changes shall be effective unless and until such changes are reduced to writing and executed by the authorized officers of each party. 10. This contract can be terminated upon thirty (30) calendar days written notice by Pace, if: 1) sufficient funds have not been appropriated to cover the estimated requirements by Pace or by any other agency funding the service; or, 2) Pace develops alternative public transportation services which, as determined by Pace, will better meet the transportation needs of the public; or, 3) the Village of Elk Grove fails to make payments as required by Section 6 of this Agreement. 11. Pace will not be responsible for any failure on the part of the Contractor to provide service due to circumstances beyond the reasonable control of the Contractor or Pace. However, Pace shall make every reasonable effort to have service restored as soon as practical under the circumstances. No fees will be charged for unperformed service. IN WITNESS WHEREOF, the parties hereto have Agreement to be made effective and executed as of the set forth above by their duly authorized officials.
