A RESOLUTION AUTHORIZING THE PRESIDENT AND VILLAGE CLERK TO EXECUTE
AN AGREEMENT BETWEEN THE VILLAGE OF ELK GROVE VILLAGE AND THE COUNTY
OF COOK FOR THE MODERNIZATION OF TRAFFIC SIGNALS AT THE INTERSECTION
OF DEVON AVENUE AND TONNE ROAD
NOW, THEREFORE, BE IT RESOLVED by the President and Board of Trustees
of the Village of Elk Grove Village, Counties of Cook and DuPage, State of
Illinois:
Section 1: That the Village President be and is hereby authorized
to sign the attached documents marked:
LETTER OF AGREEMENT
DEVON AVENUE AT TONNE ROAD, SECTION 87-B1115-03-T.L.
INTERSECTION IMPROVEMENT, TRAFFIC SIGNAL SYSTEM
MODERNIZATION
a copy of which is attached hereto and made a part hereof as if fully set
forth and the Village Clerk is authorized to attest said documents upon
the signature of the Village President.
Section 2: That this Resolution shall be in full force and effect
from and after its passage and approval according to law.

Letter of Agreement
This Letter of Agreement, in duplicate, is to formalize understandings
between Elk Grove Village (hereinafter the Village) and The County
of Cook (hereinafter the County) regarding a proposed intersection
improvement by the Village at Devon Avenue and Tonne Road, as part
of Village work on Tonne Road. This Letter of Agreement deals only
with modernization of the traffic signals thereat, said signals
having been placed and operated under an agreement of August 20,
1973, and amended June 17, 1974.
The Village will apply for a permit for the Tonne Road intersection
work, submitting plans and special provisions to the County for
the work at the intersection, including the signal modifications,
as a part of the application. This Letter of Agreement shall be
part of the permit by reference. The plans will include quantities
for the traffic signal modification work. With this submittal, the
Village will submit an estimate of cost showing the details of
traffic signal modification costs for County approval, since the
County operates the signals.
Following the County's issuance of a permitithe Village will obtain
County concurrence on the award of the traffic signal contract
work,in order that the County may determine that the signals
contractor is properly qualified and satisfactory to it.

Village of Elk Grove Village
The County will pay Seventy Five percent (75%) of the traffic
signals modification costs (only), this percent being the same
share as in the original installation agreement of 1973.
The payment will be determined from contract cost data for
the signal modifications. The County will send a first payment
of three eighths (378) of the total signal modification costs
following contract award by the Village. Upon completion of
the improvement, final inspection of the signal installation
(with a County representative present) and receipt of a
statement from the Village, the County will reimburse the
Village the remaining amount due the Village, including adjust-
ments for approved signal contract changes. With each Village
statement, the Village will execute a County Invoice Affidavit
Form 29-A, to be furnished by the County.
The County and Village will continue to share, equally, the
costs of the signal system, as set forth in the County -Village
Amendment of June 17, 1974 to the Agreement of August 20, 1973,
with the County to operate and maintain the signals system.
If the Village concurs in the above, the original and copy of
this Letter of Agreement should be returned to this Department,
each with your witnessed signature below, and each with an
enabling resolution or official minutes of the Village Board
attached, authorizing that signature and the Village's assuming
its obligations herein. This Department will present this Letter
of Agreement to the Board of County Commissioners with a Resolu-
tion to be attached and made part hereof, which will authorize
and bind the parties, their respective successors and assigns,
to their respective obligations herein. The Resolution date
will be the effective date of this Letter of Agreement. This
Letter of Agreement shall be voidable in event the Village does
not award a contract for the project within four (4) years of the
Resolution date.
