Pursuant to a duly made and approved motion and a majority vote at a regularly scheduled meeting
of the Mayor and Board of Trustees on September 13, 2022, this Executive Session was called to
consider review of Land Acquisition.

The assignment of the Vulcan purchase agreement to Prime Data Center is on tonight's Village
Board agenda for consideration. The agreement provides that Prime will close on the purchase
contract and the Village will reimburse Prime $3.5 million. This is the same dollar amount the
Village had committed to with Prime, but assigning the purchase agreement ensures that Prime
cannot leave the Village on the hook for the remaining $13 million. The consensus of the Board
was to approve the assignment of the purchase agreement.
