A RESOLUTION AUTHORIZING THE VILLAGE
PRESIDENT AND VILLAGE CLERK TO EXECUTE
AN AMENDED AGREEMENT WITH A. G. E.
COMMUNICATIONS CORP.
NOW, THEREFORE, BE IT RESOLVED, by the President and
Board of Trustees of the Village of Elk Grove Village, Cook
and DuPage Counties , Illinois as follows :
Section 1: That the Village President and Village Clerk
are hereby authorized to execute an amended agreement with
A. G. E. Communications Corp. , with respect to the performance
of a Radio Maintenance Contract, a copy of said amended Agree-
ment being attached hereto and incorporated herein.
Section 2 : That this Resolution shall be in full force
and effect from and after its passage and approval according
to law.

A G R E E M E N T
NOW COMES the Village of Elk Grove Village, an Illinois
Municipal Corporation (hereinafter referred to as Village) and
A. G. E. Communications Corp. (hereinafter referred to as
A. G. E. ) for the purpose of amending the Radio Maintenance
Contract heretofore approved by the Village on May 28 , 1982 ,
hereby agrees as follows :
1. That the Radio Maintenance Contract between the
parties will remain in full force and effect until the
expiration of its term as set forth in the original Maintenance
Agreement subject to the right of the Village to terminate
for non-performance or cause as set forth herein.
2 . That paragraph 11. of the Specifications for Radio
Maintenance for Elk Grove Village which paragraph reads as
follows :
11. The contract may be cancelled for non-performance
at any time by Elk Grove Village by giving a
thirty (30) day written notice prior to the
cancellation date.
be and the same is hereby amended to read as follows :
11 . The contract may be cancelled for non-performance
at any time by Elk Grove Village by giving a
ten (10) day written notice prior to the cancella-
tion date. Said ten (10) day notice may be condi-
tional in nature and the non-compliance to the
conditions therein stated shall give the Village
the right to so terminate within the stated ten
( 10) day period without the requirement of addi-
tional notice. Any disputes that may arise with
respect to performance or non-performance between
A. G. E . and the Fire Department, Police Depart-
ment or Department of Public Works will be pre-
sented to the Village Manager and the opinion of
the Village Manager as to whether the agreement
should be terminated or remain in full force and
effect shall be deemed final.
3. That all other provisions of the existing agreement
shall remain in full force and effect.
WHEREFORE, the parties hereto se", their hands and seals
this 12th day of October , 1982.
