Home My WebLink AboutRESOLUTION - 34-81 - 5/12/1981 - SIGNATORIES/NORTHERN TRUST COe RESOLUTION NO. 34-81 A RESOLUTION DESIGNATING A DEPOSITORY AND AUTHORIZING CERTAIN OFFICIALS AS APPROPRIATE SIGNATORIES (Northern Trust Comnanu) WHEREAS, it has been recommended that the best interst of the Village of Elk Grove Village would be served by maintaining the Northern Trust Company of Chicago, Illinois as a designated depository in which certain funds of the Village of Elk Grove Village may be deposited, and, WHEREAS, certain officials previously designated as appropriate signatories have since left office and new signatories must be designated NOW THEREFORE, BE IT RESOLVED, by the President and Board of Trustees of the Village of Elk Grove Village, Counties of Cook and DuPage, -Illinois: Section 1. That the Resolutions contained in the attached exhibit are hereby approved and the exhibit is to be considered a part of this Resolution as though the Resolutions were incorporated herein. Section 2. That the bank account to which this Resolution is applicable is as follows: Bond Fund Account No. 2 #727318 Section 3. Indorsements for deposit or collection may be by the written or stamped indorsement of this Municipal Corporation without designation of the person making the indorsement. " - t. 2. "RESOLVED, also, That any one (insert number of signatures required on each instrument) of the following, to wit: Village President, Village Manager, Village Clerk, Treasurer or Assistant Insert are (is) hereby authorized, on behalf of this Municipal Corporation: (a) To deposit funds of this Municipal Corporation with The Northern Trust Company in Time Deposit—Open Accounts or in Time Deposits evidenced by Negotiable Time Certificates of Deposits payable to Bearer or to the Order of this Municipal Corporation and to accept delivery of any such Time Certificate of Deposit; (b) To deposit with The Northern Trust Company for safekeeping as custodian, or for delivery, or for collection any and all securities, certificates of deposit or any other property whatsoever; and to withdraw, receive and receipt for any and all such securities, certificates of deposit or other property so deposited (such deposits, withdrawals, substitutions or exchanges may be made by the bearer of any order, receipt, or request signed as authorized by the aforementioned persons); and (c) To purchase or sell, either through said The Northern Trust Company as custodian, agent or otherwise, and either for immediate or future delivery all securities, certificates of deposit or any other property whatsoever." 4. "RESOLVED, also. That said The Northern Trust Company shall not in any way be responsible for, or have any obligation to inquire into the circumstances of the issuance of anv check or other instrument or the proceeds thereof, or of any of the funds deposited with it as hereinabove provided, and shall honor, receive, certify, and pay any and all checks and other orders for the payment of money and other instruments signed as aforesaid, whether m not payable or indorsed to the order of any person signing or countersigning the same, or of any other person associated with this Municipal Corporation and whether or not deposited to the individual credit of or used in payment of the individual obligation of, or tendered for cashing by any such person signing or countersigning the same, or of or by any other person associated with this Municipal Corporation." 5. "RESOLVED, also. That each of the aforementioned officers or other persons authorized to act for this Municipal Corporation in any case aforesaid hereby is authorized without the concurrence of any other officer or person: (a) To identify, approve, and guarantee the indorsement of any payee or indorser of any checks or drafts drawn by this Municipal Corporation; (b) To waive presentment, demand, protest, and notice of dishonor or protest, and to give instructions in regard to the handling or delivery of any negotiable or nonnegotiable papers or documents involved in any of said transactions; and (c) To act for this Municipal Corporation in the transaction of all other business for its account with said The Northern Trust Company." 6. "RESOLVED, also, That said The Northern Trust Company, while acting as depositary, shall furnish this Municipal Corporation with a copy of all statements of condition requested by this Municipal Corporation which are necessary to fulfill the requirements of any laws or regulations relating to this Municipal Corporation." 7.
