Pursuant to a duly made and approved motion and a majority vote at a regularly scheduled meeting
of the Mayor and Board of Trustees on January 10, 2023, this Executive Session was called to
consider review of Litigation.

Prime has until January 16, 2023 to close on the Vulcan property. Prime initially offered Vulcan
an extra $950,000 to Vulcan to extend the closing until February although the Prime CEO
redacted that offer. The Village Attorney advised that if Prime does not proceed with the closing,
Vulcan will initiate a law suit against the Village. The Village's position is that Prime is at fault,
and a letter from the Village Manager was sent out challenging Primes legal stance.
The Mayor also shared that Cook County and IDOT both agreed to release Midway Court and
the Village is now waiting for the costs and necessary procedures.
The meeting was adjourned at 6:20 pm.
