HomeMy WebLinkAboutRESOLUTION - 68-81 - 11/24/1981 - GOLF COURSE PROPERTY/CONVEY TO PARK DIST RESOLUTION NO.-68-81 A RESOLUTION AUTHORIZING AND DIRECTING THE CONVEYANCE OF CERTAIN PROPERTY LOCATED IN ELK GROVE VILLAGE TO THE ELK GROVE PARK DISTRICT WHEREAS, the Village of Elk Grove Village and the Elk Grove Park District are municipalities as defined in "an act in relation to the transfer of interests in real estate by units of local government or school districts , approved July 2 , 1925" (Chapter 30 , Section 156 of the Illinois Revised Statutes (1979) ) ; and WHEREAS, the territory of said municipalities is wholly within, co-extensive with or partly within and partly with- out the corporate limits of the other; and WHEREAS, transfers of interest in real estate are authorized by said act between such municipalities upon such terms as may be agreed upon; and WHEREAS , the Elk Grove Park District has found and determined that it is necessary and convenient for it to use, occupy and/or improve the property legally described in Exhibit A attached hereto for Park District purposes by Ordinance duly adopted and approved by the Elk Grove Park District; and WHEREAS, it is the desire of the President and Board of Trustees of the Village of Elk Grove village to convey such property to the Elk Grove Park District in such form and manner as shall be approved by the Village Attorney and the Village Manager so that thereafter said property may be used for the benefit of the public and used for recreational purposes ; NOW, THEREFORE, BE IT RESOLVED by the President and Board of Trustees of the Village of Elk Grove Village, Cook and DuPage Counties , Illinois as follows : Section 1: That the real estate described in Exhibit A, attached hereto, is no longer necessary , suitable or convenient for Village purposes . Section 2 : That the real estate described in Exhibit A be conveyed to the Elk Grove Park District in such form and manner and subject to such conditions , covenants and terms as shall be agreed upon by the Village Attorney and the Village Manager. Section 3: That upon approval by the Village Attorney and the Village Manager, the village President and Village Clerk are hereby authorized and directed to execute such documents of conveyance as are necessary to convey said real estate to the Elk Grove Park District, and such other documents as are necessary to implement this conveyance. Section 4 : That this Resolution shall be in full force and effect from and after its passage and approval according to law. SEND SUBSEQUENT TAX BILLS TO aMP OR RECORDER'S OFFICE BOX NO, EXHIBIT "B" That construction of an 18 bole golf course located partially on the real estate hereby conveyed shall be commenced by an Illinois municipal corporation or body politic within three (3) years from the date hereof and shall be substantially completed within seven (7) years from the date hereof, all substantially in accordance with Final Design Plans prepared by William Newcomb Associates, Golf Course Architects, which plans shall be on file with Grantee as part of its public records. Failure of such a municipal corporation to either commence construction within three (3) years or to substantially complete same with seven (7) years from the date hereof shall , except as hereafter provided, constitute a breach of this restriction and the Grantor, upon the occurrence of such breach, shall have the right to cause title to the real estate hereby conveyed to REVERT TO THE GRANTOR IN THE FOLLOWING MANNER: (a) Grantor shall , by certified mail , to such grantee at its address as indicated on the deed to such grantee, give notice that this restriction has been breached and shall specify the legal description of the land affected; (b) That if golf course construction has not commenced , or is not substantially completed , as applicable, within ninety (90) days after the date of mailing of said notice, Grantor may at its election record a Declaration of Breach of Restriction with the Recorder of Deeds of the County or Counties in which the property hereby conveyed is located ; (c) That upon the recordation of such Declaration, title to the property hereby conveyed shall revert to Grantor . Notwithstanding anything to the contrary herein contained , in the event that construction of the golf course shall not commence within three (3) years nor be substantially completed within seven (7) years and such delay in commencement or substantial completion of construction is attributable to matters reasonably beyond the control of the person or entity owning the property hereby conveyed at the expiration of such three (3) year and seven (7) year periods, respectively , including but not limited to an injunction or injunctions preventing commencement or continuation of improvement or development of the real estate hereby conveyed for golf course purposes, labor shortages, work stoppages, lockouts, strikes, lawsuits, court orders or decrees, tornadoes, hurricanes, floods, lightning, draugbt , pestilence, famine, war, insurrec- tion, invasion, civil strife, disaster, local or national emergency , or Act of God , then the said three (3) year period and seven (7) year period shall be extended for a period of time equal to the existence of such injunction, strike, or other stoppage or reasonably necessary to overcome the effects of such catastrophe or disaster in the exercise of due diligence and reasonable efforts, it being expressly deemed for all purposes hereof that in the event of such occurrence no breach will have occurred nor may any breach be deemed to have occurred until after the expiration of such extended period of time.
