A RESOLUTION AUTHORIZING THE MAYOR AND VILLAGE CLERK TO
EXECUTE AN AGREEMENT BETWEEN THE VILLAGE OF ELK GROVE
VILLAGE AND THE SUBURBAN BUS DIVISION (PACE) OF THE REGIONAL
TRANSPORTATION AUTHORITY (DIAL -A -RIDE)
NOW, THEREFORE, BE IT RESOLVED by the Mayor and Board of Trustees of the
Village of Elk Grove Village, Counties of Cook and DuPage, State of Illinois as follows:
Section 1: That the Mayor be and is hereby authorized to sign the attached documents
marked:
PACE PARATRANSIT LOCAL SHARE AGREEMENT
a copy of which is attached hereto and made a part hereof as if fully set forth and the Village
Clerk is authorized to attest said documents upon the signature of the Mayor.
Section 2: That this Resolution shall be in full force and effect from and after its
passage and approval according to law.

PACE PARATRANSIT LOCAL SHARE AGREEMENT
Village of Elk Grove
This agreement is made this 12th day of December 2006 by and between the Suburban Bus Division
of the Regional Transportation Authority (RTA) operating under the name and hereinafter referred to as
"Pace", an Illinois municipal corporation, and the Village of Elk Grove, an Illinois municipal corporation,
hereinafter referred to as the "Village".
The parties, in consideration of the mutual promises hereinafter set forth, hereby agree to the following:
TERM - This agreement will be in effect beginning January 1, 2007 and ending December 31, 2007.
2. SERVICE DESCRIPTION - The Village will participate in the financial support of the transportation
service described in the attached Exhibit A. Exhibit A is hereby incorporated and made a part of this
Agreement.
3. REPORTING - Pace will provide to the Village on a monthly basis, a report with the following:
A. Number of one-way trips.
B. Total Vehicle service hours (provided for Dial -A -Ride service as outlined in Exhibit A of this
Agreement).
C. A billing for Local Share, determined as outlined in Section 4 of this Agreement.
4. LOCAL SHARE FUNDING -Pace shall participate in the cost of funding only service provided Monday
through Friday. The Village agrees to reimburse Pace monthly for the Local Share incurred in
operating the weekday service described in Exhibit A and for 100% of the cost of providing the
Saturday service which is described in Exhibit A. The Village costs will be calculated in the following
manner:
A. Service Not Funded by Pace -The Local Share shall be calculated by multiplying the number of
vehicle service hours provided by the contractor's hourly rate, minus fare revenue for such service.
B. Service Funded by Pace -
1. The Total Expense of the project will be calculated by multiplying the actual number of vehicle
service hours delivered per this Agreement by the hourly rate charged to Pace by the
Contractor. Operating Deficit will be defined as Total Expense less fare revenue.
2. The Pace Contribution will be the lesser of 1) 75% of the actual Operating Deficit attributed to a
maximum of 7,073 vehicle hours of service, 2) $2.25 multiplied by the number of one-way
passenger trips, or 3) $86,682.
The Pace Contribution shall be calculated monthly on a year-to-date basis to adjust for actual
vehicle hours of service and ensure that the annual Pace Contribution is not depleted in
advance before the end of the term of this agreement.
The Local Share is the Total Expense, as described in Section 4.B.1., minus fares, minus the
Pace Contribution.
3. The Village shall pay Pace within thirty (30) days of receiving the monthly bill for service costs
for both Pace -funded services and non Pace -funded services.
4. In addition to the Local Share described above, the Municipality agrees to subsidize/reimburse
Pace for fare revenue associated with semi -scheduled service outlined in the Exhibit A service
description. The Pace minimum fare of $0.80 times the number of trips for semi -scheduled
service will be billed monthly with the Local Share.
5. AMENDMENT - This Agreement constitutes the entire Agreement between the parties hereto. Any
proposed changes in this Agreement shall be submitted to Pace for its prior approval. Except for minor

service changes, no modification, addition, deletion, revision, alteration or other change to this
Agreement shall be effective unless and until such changes are reduced to writing and executed by the
authorized representatives of parties hereto. Minor changes to semi -scheduled transportation services,
including times and days, are permitted subject to prior written notice being provided to the Village
regarding the service changes to be undertaken.
6. TERMINATION -This contract can be terminated upon thirty (30) calendar days written notice by Pace,
if: 1) sufficient funds have not been appropriated to cover the estimated requirements by Pace or by
any other agency funding the service; 2) Pace develops alternative public transportation services which,
as determined by Pace will better meet the transportation needs of the public; or, 3) the Village fails to
make payments as required by Section 4 of this agreement.
7. FAILURE TO PERFORM -Pace will not be responsible for any failure on the part of the Contractor to
provide service due to circumstances beyond the reasonable control of the Contractor or Pace. Pace
shall make every reasonable effort to have service restored as soon as practical under the
circumstances. No fees will be charged for service not performed.
IN WITNESS WHEREOF, the parties hereto have caused this Agreement to be made effective and
executed as of the date first set forth above by their duly authorized officials.

EXHIBIT A - ATTACHMENT
Semi -Scheduled Transportation Services
As a part of the services described in Exhibit A of the Local Share agreement, the following pre -scheduled
service will be provided at the Village=s request. These services are to be provided free of charge to
residents of the Village Grove Apartments and/or other senior housing complexes as may be identified and
mutually agreed upon by the Village and Pace. The Village will subsidize and reimburse Pace for the
required minimum fare for these trips.
Stratford Square Mall Shopping Trips:
Second and Fourth Wednesdays of each month
Pick ups beginning at 9:30am, return from Stratford at 3:OOpm.
Reservations required the morning of the trip.
A minimum of four (4) individuals need to request service or trip will be canceled.
Monday Service:
Mallard Crossing Shopping Plaza
Pick ups beginning at 1:O0pm, return at 3:O0pm.
No reservations required.
Tuesday Service:
Super K Shopping Plaza
Pick ups beginning at 10:00am, return between 11:30am and 12:O0pm.
No reservations required.
Stratford Square Mall Shopping Trips:
Second and Forth Wednesdays of each month
Pick ups beginning at 9:30am, return at 3:O0pm.
Thursday Service:
Elks Crossing Plaza & Elk Grove Town Center Plaza
Pick ups beginning at 10:O0am, return trips at 11:30am and 12:00pm. (2 returns)
No reservations required.
Week Night Service:
Elk Grove Senior Center (for meal/dinner program)
Cali for ride to Senior Center, scheduled return at 5:45pm. For later return call.

Stratford Square Mall, as mutually agreed upon by the Village and Pace.

FARE STRUCTURE The Reduced Fare category includes children ages 7-11, senior citizens age 65+, and
persons with disabilities who have an RTA Reduced Fare Card, or an RTA, ADA
Paratransit Services Card, and students (high school or younger with proper
identification) traveling to or from school only, during school hours) Children
under the age of 7 can only ride when accompanied by a fare paying passenger (a
maximum of two children per fare paying passenger). The first two children under
the age of 7 can ride free, with any additional children paying the reduced fare rate.
