HomeMy WebLinkAboutRESOLUTION - 42-07 - 7/17/2007 - FEDERAL EXPRESSRESOLUTION NO. 42-07 A RESOLUTION AUTHORIZING THE MAYOR AND VILLAGE CLERK TO EXECUTE A LETTER CENTER AGREEMENT BETWEEN FEDERAL EXPRESS AND THE VILLAGE OF ELK GROVE VILLAGE NOW, THEREFORE, BE IT RESOLVED by the Mayor and Board of Trustees of the Village of Elk Grove Village, Counties of Cook and DuPage, State of Illinois as follows: Section 1: That the Mayor be and is hereby authorized to sign the attached documents marked: LETTER CENTER AGREEMENT a copy of which is attached hereto and made a part hereof as if fully set forth and the Village Clerk is authorized to attest said documents upon the signature of the Mayor. Section 2: That this Resolution shall be in full force and effect from and after its passage and approval according to law. VOTE: AYES: 6 NAYS: 0 ABSENT: 0 PASSED this 17th day of July 2007. Walsh, Village Clerk Res602UrCenterAgreement.doc LETTER CENTER AGREEMENT This Agreement gives Federal Express Corporation (hereinafter referred to as Fed Ex) the right to install eleven (11) Letter Center for receipt of Fed Ex envelopes and packages in Village parkways. Said locations for the Letter Centers are identified on Exhibit A of this agreement, and Fed Ex shall continually notify the Village in writing of any changes to the locations of the Letter Centers if one should occur. In consideration, Fed Ex hereby agrees to pay the Village of Elk Grove the annual fee of $325.00 per Letter Center, for a total annual payment of $3,575.00. Said fee shall be paid within ten (10) days of the execution date of this Agreement and shall be paid in advance Q PA each subsequent year before or upon the anniversary date of this Agreement. G -``^ The term of this Agreement shall be a three-year period effective January 1, 2008. goo I di Either party to this Agreement may cancel this Agreement with 30 days written notice. idol 011 Any modifications to this Agreement require the written approval of both parties. If the Agreement is cancelled by the Village of Elk Grove, the Village shall promptly refund to Fed Ex the balance of fees paid in advance on a prorated basis. The aforementioned Letter Centers shall be installed and maintained at the sole expense of Fed Ex. Fed Ex agrees to indemnify and hold harmless the Village of Elk Grove against any loss or damage to third persons and property resulting directly from the installation and use of the Letter Centers and not resulting from the negligent or wrongful acts of the Village of Elk Grove, its agents, employees, or servants.
