Pursuant to a duly made and approved motion and a majority vote at
a regularly scheduled meeting of the Village President and Board of
Trustees on October 25, 1994 this Executive session was called to
consider a litigation matter.

LITIGATION
The Village Attorney brought the Board up to date on the
redevelopment agreement negotiations.
The Attorney stated there are many positives to the
agreement, including the Village 's sole discretion in
approving the site plan, an appropriate development time frame
with construction commencing by sixty days after site plan
approval (March 31 , 1995) , Village conditional purchase of the
property in an amount between 4 .9 to 5. 6 million, maintenance
bond for improvements, and attorney fee reimbursement .
The Attorney noted there is a matter of dispute on page
ten, Article 3G. In this section if the property owner feels
that any cost to the redevelopment is economically unfeasible
the Village is required to hold a public hearing on any of the
following:
-- Village acquisition of the property;
-- variations to the Zoning Ordinance; and
-- other matters germane to the development .
The Grove Mall is requesting specific language on
financial relief in the form of either sales tax or property
tax rebates. The Board agreed that such financial
considerations can be made outside of the terms of this
agreement; no TIF's will be considered for this site.
The consensus of the Board was as follows :
-- Adopt the agreement as presented;
-- Give Grove Mall an October 31 deadline for signing the
agreement; and
-- Include language on mutual release for prior
acts.
The meeting adjourned at 8 :05 p.m.
