Pursuant to a duly made and approved motion and a majority vote at
a regularly scheduled meeting of the Village President and Board of
Trustees on December 13, 1994, this Executive Session was called to
consider a LITIGATION matter.

LITIGATION
The Village Attorney brought the Village Board up to date
on the negotiations for the Grove Mall . After missing the
deadline for signing the redevelopment agreement, Serfecz
offered to have the Village buy the property at 8 million.
The Village Attorney rejected this offer. The Village
Attorney stated that reasonable appraisals of the property
might place its value between 5.5 to 6 million.
The Village Attorney advised the Village Board to approve
the condemnation ordinance tonight upon which a formal offer
to purchase the property will be made to Serfecz. In
addition, a condemnation lawsuit will be filed.
The Village Attorney noted that condemnation will take
between 2.5 to 3 years and cost approximately $150,000 to
$170,000 in attorney fees. However, filing for condemnation
will initiate meaningful negotiations. In addition, a
strategy will be pursued to reach a settlement in order to
avoid a lengthy lawsuit.
The Village Attorney advised the Board that Village codes
with respect to building and property maintenance should be
enforced on the property, as is done with all commercial
centers in the Village.
It was noted that Trkla and Associates will be giving the
Village a report on the amount of tax increment financing the
property is eligible for.
The consensus of the Board was as follows:
-- Adopt the condemnation ordinance at the
12113194 Village Board meeting;
-- Exclude Citgo and Burger King from the
condemnation proceedings, but include the
theatre;
-- Allow the Village Attorney to hire legal
counsel for condemnation work; and
-- Offer Serfecz 4 .9 million for the property.
