Pursuant to a duly made and approved motion and a majority vote at
a regularly scheduled meeting of the Village President and Board of
Trustees on January 24, 1995 this Executive Session was called to
consider a litigation matter.

LITIGATION
The Village Attorney brought the Village Board up to date
on the condemnation of the Grove Mall . The Attorney stated
that the Village 's offer of $5.5 million for the property had
been rejected and a counter offer of $7.5 million dollars for
the property, excluding Burger King had been made by the Grove
Mall .
The village Attorney stated that a counter offer of $5. 8
million for the property, excluding Burger King was made on
behalf of the Village. As of 5 p.m. on January 18, the Grove
Mall had not responded to this latest proposal . On January
19, Special Counsel filed condemnation litigation to acquire
the Grove Mall . As of January 24, the Grove Mall had 23 days
to respond to the lawsuit during which time the Village Board
should await counter offers from the Grove Mall.
The Village Attorney advised the Village Board that he
had received a report from Trkla regarding TIF district
financing and would provide the information along with a 1-2
page summary to the Village Board.
The Village Attorney advised the Village Board that a
letter regarding numerous violations of building and property
codes, with specific deadlines for improvement, is being
delivered to the owner of the Grove Mall . If the Grove Mall
does not make the proper improvements, they will be treated
like all other property owners in the Village and taken to
court if necessary. Village actions are consistent with the
enforcement activities taken at other commercial/business
centers.
Upon further discussion, the consensus of the Board was
as follows:
-- Have the Village Attorney keep the Board informed of
any counter offer made by Grove Mall and provide a
report on February 14, regarding the status of
condemnation litigation;
-- Have the Village Attorney contact developers about
redeveloping the property after he has reviewed the
Trkla report to determine the amount of TIF financing
available.

-- Have staff continue to perform investigations of the
property to ensure that Grove Mall is addressing all
code violations identified.
-- Direct all comments regarding the Grove Mall to the
Village Attorney as the appointed spokesperson on the
condemnation litigation.
