RESOLUTION NO. 17-18 AN RESOLUTION AUTHORIZING THE MAYOR AND VILLAGE CLERK TO EXECUTE AN ANNEXATION AGREEMENT BETWEEN THE VILLAGE OF ELK GROVE VILLAGE AND THE DESIGNATED OWNERS OF PROPERTY TO BE ANNEXED TO THE VILLAGE (MEACHAM GROVE, LTD) WHEREAS, on March 27, 2018, a public hearing was held pursuant to Section 65 ILCS 5111-15.1 et. seq. of the Illinois Municipal Code to consider the approval of an Annexation Agreement between the Village of Elk Grove Village and the designated owners of property to be annexed to the Village; and WHEREAS, as a result of the testimony and evidence presented at said public hearing, the Mayor and Board of Trustees of the Village of Elk Grove Village find and believe it to be in the best interest of the Village that the Annexation Agreement between the Village and Owners be approved. NOW, THEREFORE, BE IT RESOLVED by the Mayor and Board of Trustees of the Village of Elk Grove Village, Counties of Cook and DuPage, State of Illinois as follows: Section 1: That the Mayor be and is hereby authorized to sign the attached ANNEXATION AGREEMENT between the Village of Elk Grove Village and the designated owners which is attached hereto and made a part hereof and the Village Clerk is authorized to attest said document upon the signature of the Mayor. Murphy,Village Clerk ANNEXATION AGREEMENT Between Elk Grove Village And Meacham Grove, Ltd. and Emerald, Inc. THIS ANNEXATION AGREEMENT is made and entered on March 27, 2018 between Elk Grove Village, an Illinois Home Rule municipal corporation, located in Cook County, Illinois (hereinafter referred to as the "Village"), by and through its Mayor and the Board of Trustees (hereinafter referred to as the "Corporate Authorities"), and Meacham Grove Ltd., an Illinois Corporation, and Emerald, Inc., an Illinois Corporation (hereinafter referred to collectively as the "Owners") regarding the annexation, zoning/rezoning, subdivision and redevelopment of approximately 5.33 acres of land in total (the "Property"). RECITALS: WHEREAS, the Owners are vested in legal title of the Property, which is commonly known as 751 Meacham and 1050 Home Avenue and legally described in Exhibit A attached hereto and made a part hereof. The Property consists of six separate contiguous parcels, as shown on a Plat of Annexation, dated July 17,2017, and attached hereto as Exhibit B, and a Plat of Survey, dated February 2, 2017, and attached hereto as Exhibit C, and WHEREAS, the Property is not located within the corporate limits of any municipality, and WHEREAS, the Property is contiguous to the corporate limits of the Village, and WHEREAS, the Owners seek to have the Property annexed to the Village and to improve the Property, along with other property already within the Village boundaries, with a project consisting of 29 townhome-units and 3 single family homes in accordance with the Site Plan as prepared by W.T. Civil Engineering, LLC. (the"Site Plan"), dated March 9, 2018, and attached hereto as Exhibit D and made a part hereof, and in accordance with the Landscape Plan as prepared by Corporate Design & Development Group (the 3923722 1 "Landscape Plan"), dated March 9, 2018, and attached hereto as Exhibit E and made a part hereof, and WHEREAS, the Owners and the Village wish to enter into a binding agreement with respect to the annexation, zoning/rezoning, subdivision and redevelopment of the Property, and to other related matters pursuant to the provisions of 65 ILCS 5/11-15.1.1, upon the terms and conditions contained herein, and WHEREAS, the Owners have filed with the Village Clerk of the Village duly executed Petitions, pursuant to and in accordance with, among other things, the provisions of 65 ILCS 5/7-1- 8, for Annexation, Subdivision, and for certain Variances to and from the Village's Ordinances, such Petition including a Plat of Subdivision with A-2 and R-3 Zoning designations, and WHEREAS, as required by statute and ordinance, all public hearings have been held by the Village Plan Commission on the following: 1. the requested annexation and rezoning of the Property, 2. the requested Site Plan, 3. the requested variations hereinafter described; and 4. the requested subdivision of the property; and WHEREAS, the Findings of Facts and recommendations made by the Village Plan Commission relative to such requests have been forwarded to the Corporate Authorities, and WHEREAS, pursuant to the provisions of 65 ILCS 5/11-15.1-1, a proposed annexation agreement, in substance and in form the same as this Annexation Agreement, except as subsequently modified, was submitted to the Corporate Authorities for public hearing and a public hearing was held thereon by the Corporate Authorities pursuant to 1. Notice duly published in the Daily Herald, a newspaper of general circulation within the Village, as provided by statute; and 2. Notice to surrounding property owners and signage posted by the Owners 392372_2 2 as required by the Village's Zoning Ordinances and Village Resolution No. 42-74; and WHEREAS, due notice as required by statute has been sent to and received by the Trustees of the Fire Protection Districts and Public Library Districts having jurisdiction over the Property,the Township Road Commissioner(s) and the Township Board of Schaumburg Township, the Board of Community Consolidated School District 54, the Board of Township High School District 211 and any other entity or person entitled to such notice, and the Owners and or the Village will file affidavits of such service with the recorder of Deeds for Cook County in accordance with applicable provisions of the Illinois Municipal Code, and will comply with all other additional requirements of the Illinois Municipal Code, and WHEREAS, the Plan Commission has recommended to the Corporate Authorities of the Village that the Property be re-zoned upon its annexation, as hereinafter set forth, and that certain modifications to and variations from applicable regulations of the Village Code be granted, as hereinafter set forth, and WHEREAS, the Owners and the Village desire, pursuant to the applicable provisions of the Illinois Compiled Statutes(including, without limitation, those set forth on 65 ILCS 5/11- 15.1.1 et. seq.)the Village's Ordinances and the Village's home-rule authority, to enter into an agreement with respect to the annexation of the Property to the Village, and the zoning/rezoning, subdivision and redevelopment of the Property and with respect to various other matters related thereto, and WHEREAS, the Owners have furnished the North Cook County Soil and Water Conservation District and the Illinois Department of Natural Resources with all necessary information relative to the anticipated development of the Property and the latter two agencies have concluded there are no significant archeological or historical elements on the Property and there are not threatened or endangered species on or in the vicinity of the Property, and copies of reports and letters from agencies having been previously forwarded to the Village, and 3923722 3 WHEREAS, the Corporate Authorities, after due and careful consideration, have concluded the annexation of the Property to the Village will properly and beneficially extend the corporate limits and the jurisdiction of the Village, will permit the sound planning and development of the Village, and will otherwise promote the proper growth, general welfare and best interests of the Village, and NOW,THEREFORE, for and in consideration of the mutual covenants, promises, and agreements hereinafter set forth,the Village and the Owners hereby agree as follows: 1. Incorporation of Recitals. The above Recitals are hereby incorporated by reference as if expressly set forth in this Annexation Agreement. 2. Statutory Authority_ This Annexation Agreement is made pursuant to and in accordance with 65 ILCS 5/11-15.1-1 et. seq., (as amended), and the Village's Home Rule Authority pursuant to Article VII, Section 6 of the Illinois Constitution of 1970. 3. Annexation Ordinance. Subject to the provisions of 65 ILCS 5/11-15.1.1 et. seq., (as amended), within a reasonable time after the execution of this Agreement by the parties to this Agreement, the Village, through the action of the Corporate Authorities, agrees to do all things necessary or appropriate to cause the Property to be validly annexed to the Village, including the enactment of an ordinance annexing the Property to the Village. The Village shall notify entities or persons of such annexation and promptly record all ordinances, plats, and affidavits necessary to said annexation, in accordance with any and all statutory and Village requirements. 4. Zoned as A-2 Multi-Family Residence District and R-3 Single Family Residence District. Immediately following the adoption of the ordinance annexing the Property to the Village, the Corporate Authorities shall adopt an ordinance amending the Comprehensive Plan and official Map and Zoning Map of the Village, classifying and rezoning Parcel 1, Parcel 2, Parcel 3 and Parcel 4 of the Property as A-2 Multi-Family Residence District; and Parcel 5 of the Property as R-3 Single Family Residence District. These zoning district classifications shall create a permanent zoning classification for 392372_2 4 each parcel of the Property unless and until amended in the manner provided for such amendments. 5. Variances. The Village hereby approves the following variances to and from the requirements of the Village's Subdivision Control Ordinance with regard to the Property and shall do all things necessary or appropriate to allow for the following: a. Notwithstanding that Section 8-12B-1-1 A:3 of the Village Code requires a minimum of a 60(sixty) foot right of way, the Property shall have a 50 (fifty) foot right of way with a 10 (ten) foot-easement. b. Notwithstanding that Section 8-12B-I A B:3e of the Village Code requires a maximum cul-de-sac length of 400 (four hundred) feet, the Property shall have a cul-de-sac of 1,130 feet with emergency access per approved plans. c. Notwithstanding that Section 8-8A-3:A6 of the Village Code requires not more than fifty percent (50%) ground cover, certain lots in the Property shall have coverage up to 64.4%as shown on the Site Plan attached as Exhibit D. d. With regard to the above variances, the Village also agrees to enact such ordinances as may be necessary to cause the Village's acceptance of the variation requests above. The Variances above shall not lapse or expire as a result of the passage of time or upon the happening of any event or the failure of any event to occur, as long as construction occurs in conformance with the approved Site Plan attached as noted in Exhibit D. 6. Development. The Owners agree that all use, development, and construction on the Property shall comply in all respects with the provisions in the Building, Plumbing, Electrical, Fire Prevention, Zoning and Development Codes of the Village and all other applicable codes and ordinances of the Village in effect on the date that a specific use occurs or an application for a building permit for such development or construction is filed, subject to the Variances detailed above. The Owners further agree that the Property will be subject to the Elk Grove Village Code and ordinances and all subsequent amendments thereto, as they may from time to time apply to the Property. 3923722 5 7. Landscaping and Screening Plan. The Owners have prepared and submitted a detailed Landscape Plan for the Property, which is attached as Exhibit E. The Landscape Plan has been submitted to the Plan Commission for review and approval. Installment of all landscaping and screening shall be in conformance with the Landscape Plan. The Landscape Plan includes the installation of the fence shown in the Landscape Plan along the north side of the property, directly south of homes in the Whytecliffe subdivision. The parties acknowledge that the requirement for installation of said fence is subject to the cooperation of adjacent property owners. The Developer shall use reasonable efforts to obtain such cooperation so that the fence can be installed. The Village Code requires that parkway trees be planted not more than fifty feet(50') apart. The Village shall be compensated for any parkway trees not able to be planted at a rate of$900 per four inch (4")caliper tree, which includes the required two year warranty. 8. Sidewalk. At Owners' sole cost, Owners shall construct public sidewalks to serve the property along the Property, as indicated in the Site Plan. Sidewalks shall be concrete, and will be constructed as carriage walks, built directly adjacent to the curb, at a width of 6 (six) feet. 9. Water, Sanitary Sewer and Storm Sewer. Upon Owners' construction of improvements detailed in the Engineering Plan, which is attached as Exhibit D, dated March 9, 2018, the Village shall cooperate with Owners as required to obtain sanitary sewage treatment service for the Property and to allow Owners' connection to the sanitary sewer lines at the boundary of the Property as approved by the Village Engineer. Owners shall pay to the requisite governmental entities all permit, inspection, connection and other fees as hereinafter set forth in the manner required at the time of connection to such sanitary sewer system. The Village shall grant Owner access to all Village-owned rights-of-way to enable Owners' provision of sanitary sewer service to the Property. The Village represents and warrants that it owns, operates and maintains a potable water supply and distribution system within its borders, and water mains and lines within rights-of-way which can service the Service Property. The Owners shall have the right to connect to and use such system and mains and lines, which connection shall be on the 392372_2 6 west side of Meacham Road as approved by the Village Engineer. The Village shall grant Owners access to all Village owned rights-of-way to enable Owners' provision of potable water service to the Property. The Owners agree that each individual dwelling unit shall have its own separate water meter and external shutoff. The Owners shall install a valve on the Rucks Street water main immediately east of the Walmart property line. The Owners shall, at the time the water main is installed, provide and install cathodi-clamps and sacrificial anode at every other joint on the watermain and at each fire hydrant throughout the development. The Owners shall provide and maintain all necessary storm detention systems as are required for the construction and use of improvements to be located on the Property, all in accordance with good engineering practice. At such time as storm water management improvements are constructed in association with the construction of additional or expanded structures, pavement, sidewalks, curb and gutter, roadway or other improvements, sufficient storm water detention shall be provided to attenuate the post- developmental peak release rate to a maximum of 0.10 cubic foot per second per acre. 10. Utility lines and Public Improvement. All sanitary sewer mains, water mains and lines (except sewer and water service lines connecting the buildings to these lines), roadways, gutters, curbs, sidewalks, lighting and other public improvements, including all appurtenances, located within public rights-of-way shall be transferred by Bill of Sale to and accepted for ownership, maintenance and operation by the Village. The sanitary sewer mains, water mains, roadway, gutters, curbs, sidewalks, lighting and other public improvements constructed by the Owners located within public rights-of-way shall be transferred for ownership and maintenance by the Village after completion of construction and approval by the Village, in accordance with the terms and provisions of the Village Ordinance and this Agreement. The Owner shall place with the Village a two (2) year maintenance bond/letter of credit to ensure that the Owner satisfactorily maintains the foregoing improvements. 11. Letter of Credit. Subsequent to the time that the plat of subdivision is approved by the Village, but prior to the construction of public improvements, the developer must provide 3923722 7 the Village with an irrevocable letter of guarantee from a banking or savings and loan institution organized to do business in the State of Illinois, which letter of credit or guarantee shall be in an amount equal to one hundred ten percent(110%) of the estimated costs of all public improvements required for the subdivision. 12. Recapture Fees. The owner shall be required to pay the following recapture fees as established pursuant to Ordinance No. 2297: o Walshin 1.51 acres parcel - $14,243.52 o Dedidio Ruggieri Lampigano parcel—3.38 acres - $30,585.68 o M/M Lee parcel—0.35 acres - $3,192.36 The fees total $48,021.56 for the pro rata obligation of the Property with respect to the 8" DIP Sanitary Sewer and associated expenses. These fees are payable at such time as the Village issues the construction permit to connect sanitary sewer facilities to the Village sanitary sewer system pursuant to the terns of this Agreement. 13. Maintenance Responsibilities. The Owners agree to provide for the maintenance of the landscape improvements, retaining walls,the driveways, sidewalks, Lot 7 and the parking areas of the Property. Prior to issuance of any building permit for any structure on the Property, the Owners agree to submit covenants for maintenance and control of the landscape improvements, retaining walls, the driveways, sidewalks, Lot 7, and the parking areas to be developed on the Property for approval by Village Staff. A copy of those approved covenants, entitled Declaration of Easements, Covenants, Conditions, and Restrictions (the"Declaration"), will be filed with the Village Clerk. 14. Restrictions and Conditions. The townhomes developed on the Property shall be part of a homeowners' association. The single family homes shall not be a part of the homeowners' association. Prior to the issuance of any building permit for any structure, the Declaration (filed with the Village Clerk) shall be the Restrictions and Conditions under which the Property is developed. 15. Sale of Village Property. A. The Village has agreed to convey to the Developer pursuant to a negotiated sale authorized by Ordinance No. 1214 a parcel of Village-owned property with PIN 07- 392372_2 8 36-202-012-0000, commonly known as 1 W. Glenn Trail (the "Village Property") for the sum of Twenty-Five Thousand Dollars ($25,000) subject to the terms of this Agreement. The Village shall convey the Village Property on an "as-is, where-is" basis. The terms and conditions of the conveyance are set forth in Exhibit G, a copy of which is attached hereto and made a part hereof. B. The Village Property is currently a vacant lot within the boundaries of the Village zoned R-3 Single-Family Residential. There is an existing underground water main along the south property line as well as an existing 100-year emergency stormwater overflow from the Walmart Basin which runs through the Village Property. The water main shall continue to exist and shall be maintained by the Village. The stormwater overflow area capable of conveying the existing 100-year stormwater overflow shall continue to exist and be maintained by the Developer following the conveyance. The Developer shall, as part of the conveyance, dedicate a 20' watermain and stormwater overflow easement along the south property line of the Village Property as provided for on the Plat of Easement dated March 13, 2018, a copy of which is attached hereto as Exhibit I and made a part hereof 16. Fees. At the time of annexation of the Property to the Village, Owner shall pay to the Village an annexation fee of Five Hundred and No/100 Dollars ($500.00) per acre of the Property, resulting in a total annexation fee of Two Thousand Six-Hundred Sixty-Five Dollars ($2,665) for the annexation of the Property, plus all other accompanying fees required by existing laws, ordinances, rules and regulations, such as filing fees, court reporter costs or other related fees and expenses called for under the Village's ordinances. Except as provided below, there shall be no other annexation fees (other than reimbursement to the Village for documentation and recording fees) imposed by the Village on the development of the Property, and no impact fees shall be due and payable by Owners in connection with the development of the Property, except, when applicable, for building permit fees, engineering review and inspection fees, and water and sewer tap- on charges, as provided for by the terms of Village codes, and the same shall be the same rates as shall be uniformly applied through the Village and generally for all other property 3923722 9 and owners within the Village. Additionally, according to Section 8-1213-1-1E of the Village's Subdivision Control Ordinance, the Village requires a Ten (10) Percent land dedication for all residential developments or a cash contribution in lieu of such dedication. As a result, the Owners and the Village hereby agree that the Owners shall be required to make a cash contribution of Ninety Thousand Eighty-Four U.S. Dollars($90,084),payable to the Village upon the issuance of the first occupancy permit for the development. 17. Future Cooperation. The Village and Owners shall cooperate with one another on an ongoing basis and make every reasonable effort, including the holding of additional public hearings and the adoption of such ordinances as may be necessary to further the implementation of the provisions of this Agreement and the intentions of the Village and Owners as reflected by the provisions of this Agreement. Specifically, but without limitation, in connection with Developer's performance of its obligations under this Agreement,the Village agrees to execute such applications and documents as may be necessary to obtain approvals and authorizations from other governmental or administrative agencies. 18. BindingEffect.ffect. If any applicable existing resolution, ordinances or interpretations thereof of the Village be in any way inconsistent or in conflict with any provisions hereof, then the provisions of this Agreement shall constitute lawful and binding amendments to, and shall supersede the terns of said inconsistent ordinances, resolutions or interpretations thereof, as they may relate to the Property. If any Village Code, ordinance or regulation is hereafter adopted, amended or interpreted so as to be less restrictive upon Owner, its successors or assigns with respect to the development of the Property than is the case under the existing law then, at Owners' option, such less restrictive amendment or interpretation shall control. 19. Electrical, Gas, Cable and Telephone. Electrical and gas energy, cable, telephone, and other utilities shall be installed at Owners' cost. The Village agrees to reasonably cooperate in the installation of such utilities by timely granting permits, reviewing construction plan and plats, and if requested, will permit such installations by easement or otherwise in the Village rights-of-way. 392372_2 10 20. Notices. This Agreement shall be enforceable in any court of competent jurisdiction by either of the parties hereto by an appropriate action at law or in equity. 22. Severability. If any provision of this Agreement is held invalid, such provision shall be deemed to be excised herefrom and the invalidity thereof shall not affect any of the other provisions contained herein. 23. Tenn. This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors and assigns, for a period of twenty (20) years from the date of execution hereof, subject to the following conditions: a. Construction shall commence within eighteen (18) months of the approval of the Petitions for Annexation,Zoning and Subdivision b. Construction shall be completed within three (3)years of the approval of the Petitions for Annexation,Zoning/Rezoning and Subdivision. 392372 2 11 24. Recording. Within sixty(60)days after the execution of this Agreement,the Agreement, or a memorandum hereof, shall be recorded at the sole cost and expense of the Owners in the Office of the Cook County Recorder of Deeds. 25. Time is of the essence of this Agreement. Upon the occurrence of a default of any of the provisions of this Agreement, which default continues for thirty(30)days after a notice specifying such default is given the defaulting party, the injured party hereto may in law or in equity, by suit, action, mandamus or other proceeding, including specific performance, enforce or compel the performance of this Agreement by the defaulting party. i i i 392372_2 12 IN WITNESS WHEREOF,the parties hereto have executed this Agreement on the date beside their respective signatures. PARTIES AND SALE. A. Elk Grove Village, Cook County, Illinois, an Illinois municipal corporation (the "Village") agrees to sell to Developer(as defined below), subject to the terms and conditions set forth herein in this Agreement, a parcel of real property commonly known as 1 W.Glenn Trail, Elk Grove Village, Illinois,with a PIN of 07-36-202-012-0000,as legally described in Exhibit 1 (the"Village Parcel");and B. Meacham Grove Ltd.,an Illinois Corporation,and Emerald,Inc.,an Illinois Corporation(hereinafter referred to collectively as the"Developer"),agrees to purchase from the Village,subject to the terms and conditions set forth in this Agreement,the Village Parcel described herein and legally described in Exhibit 1;and 2. PURCHASE PRICE. The total purchase price (the "Purchase Price") to be paid by Developer is TWENTY FIVE THOUSAND DOLLARS($25,000.00),subject to the provisions set forth in this Agreement. No later than two(2)business days following execution of this Agreement by the parties, Developer shall deposit with , as escrow agent,the sum of Three Thousand and No/100 Dollars($3,000.00)(the"Deposit"),which Deposit shall be held in escrow by Escrow Agent pending closing.The Deposit shall be fully non-refundable and shall be paid to Village,except in the event that Developer terminates this Agreement as provided for in Section 4 below or unless the Village is in default under the terms of this Agreement. The Deposit shall be credited toward the Purchase Price at Closing or distributed by Escrow Agent to Village in the event that Escrow Agent receives written notice from Village that Developer has failed to close on the transaction as provided for in this Agreement,unless such failure is the result of Developer's right to terminate pursuant to Section 4 below or the result of Village's default under the terms of this Agreement. At Closing, Developer shall pay to Village, in good and available funds by wire transfer or cashiers check, the Purchase Price,less the Deposit, plus or minus any prorations as provided herein. 3. CLOSING DOCUMENTS,The Village agrees to convey the Village Parcel to the Developer by a recordable Quit Claim Deed(the"Deed"),subject only to the Permitted Exceptions.On the Closing Date,the obligations of the Developer and Village shall be as follows: The Village shall deliver or cause to be delivered to the Title Company: • the original executed and properly notarized Deed,and Plat Act Affidavit,if required; • the original executed and properly notarized Affidavit of Title,Warranty and Covenant; • the original executed and properly notarized Non-Foreign Affidavit; • counterpart originals of the Village's closing statement; • such other standard closing documents or other documentation approved by the Village, in the Village's reasonable discretion, and/or required by applicable law or the Title Company to effectuate the transaction contemplated hereby, including, without limitation, ALTA statements and GAP Undertaking, such other documentation as is reasonably required by the Title Company to issue Developer its owners title insurance policy in accordance with the Proforma Title Policy and in the amount of the Purchase Price insuring the fee simple title to the Property in the Developer as of the Closing Date,subject only to the Permitted Exceptions. Developer shall deliver or cause to be delivered to the Title Company: • the balance of the Purchase Price,plus or minus prorations; • counterpart originals of Village's closing statement; 392369_1 • ALTA Statement and such other standard closing documents or other documentation approved by the Developer,in Developer's reasonable discretion,and/or as is required by applicable law or the Title Company to effectuate the transaction contemplated herein. The parties acknowledge that as the Village is a governmental entity, this transaction is exempt from any State, County or local real estate transfer tax pursuant to 35 ILCS 200/31-45(b). The Village is obligated to furnish completed Real Estate Transfer Declarations signed by the Village and the Developer in the form required pursuant to the Real Estate Transfer Tax Act of the State of Illinois and Cook County. Unless otherwise provided herein,all Closing Costs shall be the responsibility of the Developer. 4. TITLE COMMITMENT. Within thirty(30)days of the Effective Date of this Agreement, the Village, at the Developer's cost and expense,shall deliver to the Developer, a title commitment(the"Title Commitment")issued by Chicago Title Insurance Company(the "Title Company"), in the amount of the Purchase Price, subject only to(i)the exclusions and conditions contained in the Title Commitment; (ii)the restrictions and reservations, if any, contained in the Deed; (iii)2017-2018 general real estate taxes not yet due and payable and subsequent years;(iv)existing encroachments by the residential properties to the north and south onto the Property, if any; (v)utility and drainage easements and such other building lines, covenants, easements, restrictions and matters of record; (vi)any additional easements recommended by the Village Engineer to be part of the conveyance; and (vii)acts done or suffered by or judgments against the Developer(collectively, the"Permitted Exceptions"). If the Title Commitment discloses exceptions to title, which are not acceptable to Developer(the"Unpermitted Exceptions"), Developer shall have thirty(30)days from the delivery of the Title Commitment to object to the Unpermitted Exceptions. Developer shall provide the Village with a title objection letter(the"Developer's Objection Letter")listing those matters which are not Permitted Exceptions. The Village shall have thirty(30)days from the date of receipt of the Developer's Objection Letter("Village's Cure Period")to have the Unpermitted Exceptions removed from the Title Commitment or to cure such Unpermitted Exceptions or to have the Title Company commit to insure against loss or damage that may be occasioned by such Unpermitted Exceptions, and the time of Closing shall be extended thirty(30)days. If the Village fails to have the Unpermitted Exceptions removed or in the alternative, to obtain a Title Commitment insuring the Unpermitted Exceptions within the specified time (the "Proforma Title Policy"),Developer may elect to either(i)terminate this Agreement,at which time the Developer shall be entitled to have the Deposit, minus any costs incurred by the Village,returned to Developer,or(ii)Close taking subject to such Unpermitted Exceptions. All Unpermitted Exceptions, which the Title Company commits to insure, shall be included within the definition of Permitted Exceptions. The Proforma Title Policy shall be conclusive evidence of good title as therein shown as to all matters insured by the Title Company, subject only to the Permitted Exceptions. The Developer shall pay the cost for any later date title commitment and the cost of the Title Company issuing a Proforma Title Policy to Developer. The Title Commitment shall, at Developer's cost, provide for extended coverage. Title endorsements requested by the Developer for its owners'policy and/or loan title policy shall be paid for by the Developer. Village shall furnish to the Developer an affidavit of title in customary form,reasonably acceptable to Developer. 5. DEED.The Village Parcel shall be conveyed to Developer by the Village through the Deed,which shall be a recordable quitclaim deed. The Deed shall provide that the Village Parcel is being conveyed in "AS IS, WHERE IS" condition, including any environmental conditions existing in,on or beneath the Property."If public utilities,street lighting,sanitary or storm sewers, fire hydrants and related water service lines, public sidewalks or any other above or below grade infrastructure or public improvements are located within any portion of the Village Parcel to be sold, the Village shall reserve in the quitclaim deed, a public utility or sidewalk easement of sufficient size to accommodate the repair, replacement,or maintenance of the public facilities or the installation of additional public facilities.The Village Engineer, in his or her discretion,shall determine the size of the required easement area.The Deed will not remove or release any existing non-Village easement rights or other conditions of public record that are enforceable by other persons or private or public entities. 6. SURVEY. , The Village has obtained the Boundary Survey prepared by W-T Land Surveying, dated March 6, 2018, depicting the Village Parcel,and the locations of all easements upon the Village Parcel or appurtenant thereto(identified by the Recorder's Document Number 21013188)and showing encroachments, if any,from or upon adjoining property or upon any easements located on the Village Parcel,certifying the number of square feet(or the number of acres)to not less than two decimal points,of the Village Parcel.A copy of said Survey shall be provided to the Developer by the Village within five days of the Effective Date of this Agreement. The Developer shall pay the cost of the Boundary Survey. Upon approval of the Boundary Survey,the legal description in EXHIBIT"1"shall be automatically revised to be that of 3923691 2 the legal description in the Survey and Title Commitment. At either party's request,any changes to the legal description shall be confirmed in writing and signed by both parties. 7. CLOSING. The time of closing (the"Closing")on the Village Parcel shall be sixty(60)days from the Effective Date of this Agreement(the"Closing Date")or on such other date mutually agreed upon by the Parties,at the office of the Title Company or other location mutually agreed upon by the Parties,provided the terms and conditions set forth herein have been complied with. 8. NO BROKER. Each Party hereto hereby represents and warrants to the other that,in connection with each respective conveyance, no third-party broker or finder has been engaged or consulted by it or, through such Party's actions (or claiming through such Party), is entitled to compensation as a consequence of this transaction. Each Party hereby defends,indemnifies,and holds the other harmless against any and all claims of brokers,finders or the like,and against the claims of all third Parties claiming any right to a commission or compensation by or through acts of that Party or that Party's partners,agents or affiliates in connection with this Agreement. The Village makes no representations or warranties regarding the physical,environmental or structural condition of the Village Parcel or of any buildings thereon, including but not limited to layout, square footage, zoning, use and occupancy restrictions, susceptibility to flooding or, with respect to the existence or absence of toxic or hazardous materials, substances or wastes in,on or affecting the Village Parcel,its soil or groundwater,the scope and extent of any remediation performed on the Village Parcel or the presence or lack of radon, asbestos, underground storage tanks, or other environmental contamination on,in or under the Village Parcel.As part of this Agreement,the Village assigns to Developer any and all rights to any claims it may have against prior owners of the Village Parcel pertaining to the environmental condition of the Village Parcel,except for those rights necessary for the Village to retain to protect itself from such liability.Developer has inspected the Village Parcel which is being sold in"AS IS"condition with all faults and accepts the Village Parcel in its condition as of the Effective Date of this Agreement. The Developer expressly waives any claims against the Village and its respective agents, employees, officers, directors, successors and assigns for any defects that may exist or be discovered by the Developer. Developer has not relied on any information provided by the Village in connection with this transaction. 16.
