HomeMy WebLinkAboutRESOLUTION - 44-18 - 10/9/2018 - Ground lease agreement - Verizon 676 MeachamRESOLUTION NO.44-18 A RESOLUTION AMENDING RESOLUTION NO.36-06 AND AUTHORIZING THE MAYOR AND VILLAGE CLERK TO EXECUTE A FIRST AMENDMENT TO GROUND LEASE AGREEMENT BETWEEN THE VILLAGE OF ELK GROVE VILLAGE AND CHICAGO SMSA LIMITED PARTNERSHIP D/B/A VERIZON WIRELESS ("TENANT") FOR PROPERTY LOCATED AT 676 MEACHAM ROAD NOW, THEREFORE, BE IT RESOLVED by the Mayor and Board of Trustees of the Village of Elk Grove Village, Counties of Cook and DuPage, State of Illinois as follows: Section 1: That the Mayor and Village Clerk are hereby authorized to sign the attached documents marked: FIRST AMENDMENT TO THE GROUND LEASE AGREEMENT a copy of which is attached hereto and made a part hereof as if fully set forth and the Village Clerk is authorized to attest said document upon the signature of the Mayor. Section 2: That the Village Clerk is hereby directed to record a copy of said First Amendment to the Ground Lease Agreement with the Recorder of Deeds of Cook County, Illinois. Section 3: That this Resolution shall be in full force and effect from and after its passage and approval according to law. VOTE: AYES:6 NAYS:0 ABSENT:0 PASSED this 911 day of October 2018. Murphy, Village Clerk FIRST AMENDMENT TO GROUND LEASE AGREEMENT This First Amendment to Ground Lease Agreement ("First Amendment") made this q day of &j a6 i 2018 amends a certain Ground Lease Agreement dated October 16, 2006 between the Village of Elk Grove Village ("Landlord"), and Chicago SMSA Limited Partnership d/b/a Verizon Wireless ("Tenant"). RECITALS Landlord and Tenant entered into that certain Ground Lease Agreement dated October 16, 2006 ("Ground Lease") for certain property located at 676 Meacham Road, Elk Grove Village, Cook County, Illinois (the "Leased Premises") — Tenant Site Name /Location Code: Plum and Weathersfield/127278. Landlord and Tenant wish to amend the Ground Lease to reflect the agreements set forth herein. NOW, THEREFORE, in consideration of the above and pursuant to the terms set forth under the Ground Lease, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereby agree as follows: 1. Section I L I regarding grant of easements is amended by adding thereto the following: For the Term and Renewal Terms of this Lease, Landlord grants to Tenant a non- exclusive easement to install such utilities under the Property and to the Leased Premises across that portion of the Land legally described in Exhibit A, and shown as "Proposed Utility Easement" in Exhibit B. to this First Amendment as necessary for Tenant to operate its communications facility. In addition, prior to Landlord granting permission for installation of any additional utilities at the Property, Landlord will provide notice to Tenant and will consult with Tenant to ensure the integrity of Tenant's utilities. The parties have executed this First Amendment as of the effective date.
