A RESOLUTION AUTHORIZING THE VILLAGE PRESIDENT AND VILLAGE
CLERK TO EXECUTE A JOINT AGREEMENT WITH I .D.O.T. - ARLINGTON
HEIGHTS ROAD IMPROVEMENT AT I-90 (FULL INTERCHANGE)
NOW, THEREFORE, BE IT RESOLVED by the President and Board of Trustees
of the Village of Elk Grove Village, Counties of Cook and DuPage, State of
Illinois as follows:
Section 1: That the Village President be and is hereby authorized to
sign the attached documents marked:
JOINT AGREEMENT WITH I.D.O.T.
ARLINGTON HEIGHTS ROAD IMPROVEMENT AT I-90
(FULL INTERCHANGE)
a copy of which is attached hereto and made a part hereof as if fully set
forth and the Village Clerk is authorized to attest said documents upon the
signature of the Village President.
Section 2: That this Resolution shall be in full force and effect
from and after its passage and approval according to law.

AGREEMENT
THIS AGREEMENT entered into this 28th day of September A.D. 1993,
by and between the STATE OF ILLINOIS, acting by and through its DEPARTMENT OF
TRANSPORTATION, hereinafter called the STATE, and the Village of Elk Grove
Village, County of Cook, of the State of Illinois, hereinafter called the
VILLAGE.
WITNESSETH:
WHEREAS, the STATE, through its Division of Highways, is desirous of
improving FAU Route 2626 (Arlington Heights Road) , at I-90 (Northwest Tollway)
in the Village of Arlington Heights, Cook County, Illinois [State Section:
N-7 (A b Z) HB-K; N-7-2 (F)] by making the following improvements:
The construction of a "FULL INTERCHANGE" at Interstate 90 (Norhtwest
Tollway) and Arlington Heights Road. The existing ramps will be
reconfigured and additional new ramps constructed to provide full access
at the Northwest Tollway interchange. To accommodate the proposed
Arlington Heights Road widening, the dual structures carrying the
Northwest Tollway over Arlington Heights Road will be constructed.
Approximately 900 feet of Arlington Heights Road pavement will be
reconstructed to provide a minimum of 14 feet 6 inches vertical clearance
at the Northwest Tollway structure. Interchange lighting will be
installed as required by the PROJECT IMPROVEMENT. Traffic signals will be
installed at Ramps A and G including interconnections and all incidental
work, and all other work necessary to complete the PROJECT in accordance
with the approved plans and specifications; and
WHEREAS, the VILLAGE requests emergency vehcile pre-emption "OPTICOM" be
installed at the Ramp G - Arlington Heights Road intersection; and
WHEREAS, the parties are desirous of said improvement in that same will be
of immediate benefit to the VILLAGE residents and permanent in nature;
NOW, THEREFORE, in consideration of the mutual covenants contained herein,
the parties hereto agree as follows:
1 . The STATE agrees to make the surveys, obtain all necessary rights of way,
prepare plans and specifications, receive bids and award the contract,
furnish engineering inspection during construction and cause the
improvement to be built in accordance with the plans , specifications and
contract.
2. The STATE agrees to pay all right-of-way, construction and engineering
costs , subject to reimbursement by the VILLAGE as hereinafter stipulated,
and except as may be provided in other Agreements between the STATE and
third parties.
3. It is mutually agreed by and between the parties hereto that the estimated
cost for this improvement is $9,325,092.00, and the estimated cost of the
improvements of immediate benefit to the VILLAGE is $6,900.00.
Costs shall be determined by multiplying the final quantities times
contract unit prices plus 15% for construction and preliminary engineering.
4. The VILLAGE has passed a resolution appropriating sufficient funds to pay
Its share of the cost of this improvement, a copy of which is attached
hereto as Exhibit A and made a part hereof.
Upon award of the contract for this improvement, the VILLAGE will pay to
the Department of Transportation of the State of Illinois in a lump sum,
from any funds allotted to the VILLAGE, an amount equal to 95% of its
obligation incurred under this Agreement and will pay to said Department
the remainder of its obligation in a lump sum upon completion of the
project, based upon final costs.
The VILLAGE agrees to pass a supplemental resolution to provide necessary
funds for its share of the cost of this improvement if the amount
appropriated herein proves to be insufficient to cover said cost.
5. The VILLAGE agrees to adopt a resolution or send a letter, prior to the
STATE advertising for the work to be performed hereunder, approving the
plans and specifications as prepared for the installation of the emergency
vehicle pre-emption (EVP) system.

6. The STATE shall cause private utilities to be relocated at no expense to
the STATE or VILLAGE. Where a municipal utility has been installed 1 . on
right of way acquired by the STATE or 2. within defined limits of a route
the STATE has accepted for maintenance responsibilities, subsequent to the
date of such acceptance the municipality will bear all utility relocation
or adjustment costs made necessary by the construction of this improvement.
7. Upon completion of the improvement and final field inspection by the
STATE, the STATE agrees to maintain, or cause to maintain, Arlington
Heights Road in its entirety within the project limits.
8. Upon acceptance by the STATE of the traffic signal work included herein,
the financial responsibility for the maintenance and electrical energy
charges for the operation of the signal (s) shall be proportioned as
fol l ows:

It is mutually agreed that the actual signal maintenance will be performed
by the STATE either with its own forces or through an ongoing contractual
agreement.
It is further agreed that the signals shall be maintained to at least the
Level of Plaintenance shown above.

9. The STATE's Electrical Maintenance Contractor shall naintain the
"Emergency Vehicle Pre-Emption System" equipment located at the traffic
signal installation to be maintained by the STATE. The STATE's Electrical
Maintenance Contractor shall invoice the VILLAGE for the maintenance costs
related to the maintenance of the "Emergency Vehicle Pre-Emption System"
equipment. The VILLAGE shall maintain the emitters and associated
appurtenances at its own expense. The emitters shall be maintained and
tested by the VILLAGE in accordance with the recommendations of the
manufacturer.
If in the future, the STATE adopts a roadway or traffic signal improvement
which would include the intersection of Arlington Heights Road and Ramp G
requiring *modifications to the traffic signal , then the VILLAGE agrees to
financially participate in accordance with STATE policy towards the
relocation, modernization, or reconstruction costs pertaining to the
Emergency Vehicle Pre-emption equipment in conjunction with the STATE's
proposed improvement.
10. It is mutually agreed that the STATE's Electrical Maintenance Contractor
will send to the VILLAGE an itemized invoice every three months covering
the actual cost for the maintenance of the "Emergency Vehicle Pre-Emption
System" equipment during the preceding period. Upon receipt of said
invoice, the VILLAGE agrees to pay to the STATE's Electrical Maintenance
Contractor the amount of the invoice by certified check.
11 . The STATE shall control the sequence and timing of the traffic signal
installation included herein.

THIS AGREEMENT and the covenants contained herein shall become null and
void in the event the contract covering the construction work contemplated
herein is not awarded by July 1 , 1996.
THIS AGREEMENT shall be binding upon and inure to the benefit of the
parties hereto, their successors and assigns.
