HomeMy WebLinkAboutRESOLUTION - 38-91 - 8/13/1991 - PACE LOCAL SHARE AGREEMENTRESOLUTION NO. 38-91 A RESOLUTION AUTHORIZING THE VILLAGE PRESIDENT AND VILLAGE CLERK TO EXECUTE AN AGREEMENT BETWEEN THE VILLAGE OF ELK GROVE VILLAGE AND PACE (Dial -A -Ride Bus) NOW, THEREFORE, BE IT RESOLVED by the President and Board of Trustees of the Village of Elk Grove Village, Counties of Cook and DuPage, State of Illinois as follows: Section 1: That the Village President be and is hereby authorized to sign the attached documents marked: "Local Share Agreement" a copy of which is attached hereto and made a part hereof as if fully set forth and the Village Clerk is authorized to attest said documents upon the signature of the Village President. Section 2: That this Resolution shall be in full force and effect from and after its passage and approval according to law. PASSED this 13th day of August 1991. APPROVED this 13th day of August 1991. Smith Village Clerk LOCAL SHARE AGREEMENT This Agreement is made this 13th day of Aueust , 1991 by and between the Suburban Bus Division of the Regional Transportation Authority (RTA), operating under the name and hereinafter referred to as "Pace", an Illinois municipal corporation, and The Village of Elk Grove, an Illinois municipal corporation, hereinafter referred to as the "Municipality". The parties, in consideration of the mutual promises hereinafter set forth, hereby agree to the following: 1. This agreement will be in effect beginning August 15, 1991, and ending August 14, 1992. 2. The Municipality will participate in a project which provides curb -to -curb bus service within the the Village of Elk Grove, exclusive of the Elk Grove Industrial Park areas, to Randhurst Mall one day per week, and additional locations as mutually agreed upon by Pace and the Municipality 3. Pace will contract with a private contractor to provide the following service: A. Dial -A -Ride service will be provided in the Village of Elk Grove, Tuesday through Friday, from approximately 9:00 AM to 6:30 PM, and from approximately 9:00 AM to 5:30 PM on Mondays. Service will, on occasion, be provided to 9:00 PM as mutually agreed upon by Pace and the Municipality. The hours of operation may be modified during the term of this Agreement if mutually agreed upon by Pace and the Municipality. B. There will be no transportation service on New Year's Day, Memorial Day, July 4th, Labor Day, Thanksgiving Day, and Christmas Day. C. Rides will be scheduled by calling the dispatcher approximately one hour before a trip is being requested. The dispatcher will notify the passenger of the approximate pick-up time. If a deviation of more than fifteen (15) minutes is expected to occur the dispatcher will notify the passenger of the delay. When the contractor arrives at a pick-up location, they are required to wait two (2) minutes for the passenger to board the vehicle. Before the driver proceeds without a scheduled passenger, the dispatcher is expected to attempt to call the passenger. The contractor will schedule pick-ups and drop-offs to maximize efficiency. However, the contractor will also attempt to minimize a passenger's ride time and insure that riders originating and ending within Elk Grove normally ride no more than thirty minutes. -Page Two - 4. Full Fare Reduced Fare Transfers are listed below discretion of Pace. with 30 days notice Reduced Transfers $1.10 $ .05 All fares are Pace agrees to of any proposed The applicable fares listed above are defined as follows: The reduced fares category includes children ages 7-11, senior citizens (Age 65+) and persons with disabilities who have an RTA Reduced Fare Card or Pace Special Services Card, and students (high school or younger with proper identification) traveling to or from school only, during school hours. Children under the age of 7 can only ride when accompanied by a fare paying passenger (a maximum of two children per fare paying passenger). The first two children under the age of 7 can ride free, with any additional children paying the reduced fare rate. If the Municipality desires that fares be lower for any fare categories, the passenger will be charged the lower fare and the Municipality will be charged the difference between the fares specified in this Agreement and the lower fares. 5. Pace will provide to the Municipality on a monthly basis, a report with the following: A. Number of one way trips (for dial -a -ride trips originating and ending within the Municipality boundaries); B. Vehicle service hours (provided for dial -a -ride service within the Municipality as outlined in Sections 2 and 3 of this Agreement); C. A bill for services provided as outlined in Section 6 of this Agreement. 6. The Municipality agrees to reimburse Pace monthly for the Local Share incurred in operating the service described in this Agreement. The Local Share will be calculated in the following manner: -Page Three - A. The Total Expense of the project will be calculated by multiplying the actual number of vehicle service hours delivered per this Agreement by the hourly rate charged to Pace by the Contractor. B. The Pace Contribution will be the lesser of the amounts as calculated below: 1) 75% of the Total Expense minus fares; or 2) $2.50 multiplied by the number of one-way passenger trips. C. The Local Share is the Total Expense, as described in Section 6A, minus fares, minus the Pace Contribution. The Municipality shall pay Pace within 30 days of receiving the monthly bill. 7. This Agreement constitutes the entire Agreement between the parties hereto. Any proposed change in this Agreement shall be submitted to Pace for its prior approval. No modification; addition, deletion, etc., to this Agreement except as to minor service changes shall be effective unless and until such changes are reduced to writing and executed by the authorized officers of each party. 8. This contract can be terminated upon thirty (30) calendar days written notice by Pace, if: 1) sufficient funds have not been appropriated to cover the estimated requirements by Pace or by any other agency funding the service; or, 2) Pace develops alternative public transportation services which, as determined by Pace, will better meet the transportation needs of the public; or, 3) the Municipality fails to make payments as required by Section 6 of this agreement. 9. Pace will not be responsible for any failure on the part of the contractor to provide service due to circumstances beyond the reasonable control of the contractor or Pace. However, Pace shall make every reasonable effort to have service restored as soon as practical under the circumstances. No fees will be charged for unperformed service. -Page Four - IN WITNESS WHEREOF, the parties hereto have caused this Agreement to be made effective and executed as of the date first set forth above by their duly authorized officials.
