A RESOLUTION ACCEPTING A BILL OF SALE AND DEED OF CONVEYANCE, AND
A LETTER OF CREDIT FROM THE BANK OF WAUKEGAN IN THE AMMOUNT OF
$ 14,200.00 GUARANTEEING THE MAINTENANCE UNTIL MAY 1, 1984 OF ALL
PUBLIC IMPROVEMENTS IN THE TRITON II INDUSTRIAL PARK
WHEREAS, the Developer Esper A. Petersen/United States Development
Corporation has submitted a Bill of Sale and Deed of Conveyance, and a
Letter of Credit in the amount of $14,200.00 expiring May 1, 1984 to cover
interim maintenance of all completed public improvements as required by the
Subdivision Control Ordinance and has fully complied with all provisions of
any and all ordinances appertaining; and
WHEREAS, the developer has completed all public improvements as required
by the Village, has made full payment of fees, and has submitted required
As -Built -Drawings and Engineering Plans.
NOW THEREFORE BE IT RESOLVED bu the President and Board of Trustees of
the Village of Elk Grove Village, Counties of Cook and DuPage, Illinois:
Section 1. That the President and Board of Trustees do hereby accept
a Bill of Sale and Deed of Conveyance for all public improvements and a
Letter of Credit guaranteeing the maintenance of said public improvements as
shown on engineering plans prepared by Seeton Engineering Company and
identified as Triton II Industrial Park - Project 79-037, Sheets 1 through 6,
dated April 25, 1980.
Section 2. That this resolution shall be in full force and effect from
and after its passage and approval according to law.

Gentlemen:
We hereby open an Irrevocable Letter of Credit in your favor
for the sum not to exceed FOURTEEN THOUSAND TWO HUNDRED AND
00/100 ($14,200.00) DOLLARS, to cover interim maintenance of
all completed public improvements, for the account of Esper A.
Petersen/United States Development Corporation, 1300 Skokie
Highway, Gurnee, Illinois, available by your drafts at sight
drawn on us in the name of the Village of Elk Grove, an Illi-
nois Municipal Corporation, Elk Grove, Illinois. All drafts
must be marked "Drawn Under Bank of Waukegan Letter of Credit
dated December 1, 1981".
Further, each draft must be accompanied by a certified state-
ment from the Village Manager, Village of Elk Grove that
Esper A. Petersen/United States Development Corporation have
failed to maintain all public improvements in the Triton II
Industrial Park as shown on proposed plan entitled "Proposed
Improvements for Triton II Industrial Park" engineered by
Seton Engineering Company, 560 Green Bay Road, Winnetka, Illi-
nois Job No. 79-307, approved by Elk Grove Village on May 5,
1980.
We hereby certify to the Village of Elk Grove that drafts
drawn under the terms of the letter of credit shall be duly
honored upon presentation and surrender of the documents to
the drawee as above specified. This letter of credit must
accompany any draft which exhaust the letter of credit and
must be surrendered concurrently with the presentation of

such draft. This letter of credit expires May 1, 1984, and
is not renewable.
Except so far as otherwise expressly stated, this documentary
credit is subject to the "Uniform Customs and Practice for
Documentary Credits" (1974 Revision) International Chamber of
Commerce Publication 290.

THIS INDENTURE WITNESSETH THAT UNITED STATES DEVELOPMENT CORPORATION, an
Illinois Corporation, authorized to do busines in the State of Illinois, (the 'Company'),
for and in consideration of the sum of Ten OL.Iars ($10.00) and other goad and valuable
consideration in hand paid, the receipt and sufficiency of which are hereby acknowledged,
does hereby TRANSFER, SET OVER AND CONVEY unto the VILLAGE OF ELK GROVE VILLAGE, Cook
and DuPage Counties, Illinois a municipal corporation, (the 'Village'), the following:
Curbs, Pavement and Sidewalks
Mater, sanitary and storm mains and drains and incidental
equipment as described on those certain engineering plans
prepared by Seeton Engineering Company and identified as
Triton II Industrial Park — Project 79-037, Sheets 1 through
6, dated April 25, 1980, otherwise described as the
improvements lying in TRITON II FIRST RESUBDIVISION, a
resubdivision of Lots 1 through 17 both inclusive in Triton
II, being a subdivision in the West half of Section 27,
Township 41 North, Range 11, East of the Third Principal
Meridian in Cook County, Illinois, in Elk Grove Village,
Illinois, which plans are incorporated by reference and
made a part hereof.
TO HAVE AND TO HOLD all of the 4.rovements hereby conveyed unto the Village,
to and for its own use forever.
AND the Company does hereby warrant to the Village that it is the lawful
owner of and has good marketable title to th.improvements; that the save are free from
all encumbrances; that the Company has the right to sell the same; and that it will defend
and hold harmless the Village against the lawful claims and demands of all persons with
respect to the title hereby conveyed.

ACCEPTANCE OF PUBLIC IMPROVEMENTS

I certify that all improvements required to be constructed or
installed in or upon the public right of way in connection with this
development have been fully completed and the construction or install-
ation thereof has been approved and said improvements meet the design
and operating standards and requirements of the Village.
In conjunction with this acceptance request is a Bill of SaZe/Deed
of Conveyance and an irrevocable Letter of Credit in the amount of
$14,200 guaranteeing maintenance for two (2) years which was submitted
and is attached.
Also attached is an irrevocable Letter of Credit in the amount
of $3,300 guaranteeing the placement of sidewalk along a presently
undeveloped lot by December 1, 1982.
As -built plans have been submitted and are on file in the
Engineering Department.
I recommend acceptance of the public improvements in this
development.
