Section 1. That the Village President be and is hereby authorized to
sign the attached documents marked Agreement with Davidsmeyer Bus, Inc.
for a commuter service.

AGREEMENT BETWEEN DAVIDSMEYER BUS SERVICE
INC. AND THE VILLAGE OF ELK GROVE VILLAGE
TO RENDER COMMUTER SERVICE
1. PARTIES TO CONTRACT:
The Davidsmeyer Bus Service, Inc., hereinafter called the "Company",
an Illinois corporation, and the Village of Elk Grove Village, hereinafter
called the "Village", do hereby enter into a mutually beneficial contract
for the implementation, operation and evaluation of a commuter bus service
for residents of Elk Grove Village.
2. TERM OF CONTRACT:
A. Period: This contract shall begin on January 1, 1974 and
terminate on May 31, 1974.
B. Cancellation: The contract, or any extension thereof, may be
cancelled by either party giving written notice to the other party at
least sixty (60) days in advance of the desired cancellation date.
3. COMPENSATION: Upon invoicing by the company on the 5th day of each
month giving the information required by Exhibit A, attached, the
Village shall pay the Company at the rate of $4.50 per hour plus 50t per
mile per vehicle as measured from the first and last stops for actual
operations which involve passengers. Deadhead runs are to be paid 1/2
regular rates. A deadhead run is defined as a trip between the Company's
bus storage location at 2513 E. Higgins Rd. and the first passenger pick
up or the last passenger discharge location.
4. COMPANY RESPONSIBILITIES:
A. The Company agrees to indemnify and hold harmless the Village of
Elk Grove Village, its Trustees, Officers, Officials and Employees from any
and all losses, claims, actions, costs, expenses, judgments, subrogations
or other damages resulting from injury to any person (including injury
resulting in death) or damage (including loss or destruction) to property
of whatsoever nature arising out of or incident to the performance of the
terms of this contract by the company (including, but not limited to its
employees, agents, subcontractors and others designated by the Company to
perform work or services in, about or attendant to the work and services
under the Terms of this contract). insurance covering this indemnity agree-
ment shall be provided by the Company, in amounts and in accordance with
the certificate of insurance attached as Exhibit B.
B. Equipment: The company shall provide at least two bustype
vehicles, radio equipped, each having a seating capacity of approximately
50 passengers. Each vehicle shall be maintained in a clean and safe op-
erating condition at all times.
C. Drivers: The Company shall furnish qualified and properly
licensed drivers to operate the vehicles furnished under this contract.
D. Revenue, The Company shall provide a written account of all
revenue received by each driver during the course of each day and remit
to the Village all such revenue received along with the invoice tendered
for services performed per item above. The foregoing shall be performed
by the Company by the 5th day of the month for the preceding month.
E. The Company shall establish the routes and schedules in accordance
with Exhibit C , attached. Changes to the schedule shall not be made
except by joint consent of the parties.
F. Scope of Service: The Company shall provide bus transportation
for persons using the Chicago and Northwestern commuter service at
Arlington Heights, Illinois and the Chicago, St. Paul b Minneapolis com-
muter service at Wood Dale, Illinois. The service shall consist of pickups
at multiple points in Elk Grove Village and discharge at the commuter
station depots during the morning. In the afternoon the service shall be
reversed with pickups at the commuter station and discharge points within
the Village of Elk Grove Village, all of which are set forth in Exhibit D,
attached.
G. Records E Reports: The Company shall make and maintain records
which accurately reflect the usage of the Commuter Bus operations on a
daily basis and according to each pickup and discharge point of the routes.
The company shall transmit such records and reports to the Village at least
once every seven calendar days.
H. Evaluation E Recommendations: The Company shall meet with the
Village at least once each month during the contract period to express its

evaluation of the commuter bus service and to offer recommendations for
improvements. At the end of the first three months of service and again
at the end of the first five months of service, the Company shall submit
to the Village Manager a written evaluation of the commuter bus service
and such recommendations for change as it deems appropriate.
5. VILLAGE RESPONSIBILITIES:
A. Inspection of Records: The Village shall be entitled to audit
the Company's records relating to this contract for the purpose of
determining compliance with the contract and evaluating the effectiveness
and efficiency of the service.
B. Records and Reports: The Village shall determine from time to
time the nature and scope of records and reports to be maintained and
furnished by the company under this contract.
C. Evaluation: The Village shall determine the frequency and
methods to be used in evaluating the effectiveness and efficiency of
the service.
D. Fares: The Village shall establish the amount of fare to be
charged passengers for use of the service.
E. Tickets: The Village shall furnish appropriate tickets and
administer the sale of tickets to passengers. Passenger information as
required by the Company shall be furnished by the Village.
F. Publicity 6 Advertising: The Village shall be responsible
for publicity and advertising in connection with the bus service. Only
advertisements approved by the Village shall be permitted in or on the
vehicles or on tickets or other materials produced or used in connection
with the Bus service operation.
G. Advance rotice of all publicity and advertising shall be given
the Company by the Village. No advertising materials shall be placed
upon any bus except with the joint agreement of the parties.

Persuant to your instructions enclosed is National Surety Corporation
Certificate increasing the limit of liability to $10,000,000 for Bodily
Injury and Property Damage arising out of the operation of vehicles
in connection with your transportation contract with the Village of Elk
Grove Village. Our invoice in the amount of $1800.00 indicates the
premium. This premium is not subject to any credit for cancellation
and contemplates the use of no more than two (2) 66 passenger school
bus type vehicles. There is no limit to the number of mini bus type
vehicles covered under this policy.
A Certificate of Insurance is being prepared -by the Casualty Insurance
Company for the Village of Elk Grove Village showing evidence of under-
lying coverage up to a limit of $4,000,000. We expect this certificate
by the end of the week.
