A RESOLUTION AUTHORIZING THE VILLAGE PRESIDENT AND VILLAGE CLERK TO SIGN
AN AGREEMENT BETWEEN THE DAVIDSMEYER BUS SERVICE, INC. AND THE VILLAGE OF
ELK GROVE VILLAGE TO PROVIDE LOCAL BUS SERVICE

Section 1. That the Village President be and is hereby L,athorized to

AGREEMENT BETWEEN DAVIDSMEYER BUS
SERVICE, INC. AND VILLAGE OF ELK
GROVE VILLAGE TO PROVIDE LOCAL BUS
SERVICE DATED January 8, 1974
1. PARTIES TO CONTRACT:
The Davidsmeyer Bus Service, Inc., hereinafter call the "Company",
an Illinois corporation, and the Village of Elk Grove Village, herein-
after called the "Village", do hereby enter into a contract for the im-
plementation, operation and evaluation of a local bus service for
residents of Elk Grove Village.
2. TERM OF CONTRACT:
A. Period: This contract shall begin on January 1, 1974 and
terminate on May 31, 1974.
B. Cancellation:
This contract, or any extension thereof, may be
cancelled by either party giving written notice to the other party at
least sixty (60) days in advance of the desired cancellation date.
C. COMPENSATION: Upon invoicing by the company which gives the
information required by Exhibit A, the Village shall pay the Company
at the rate of $4.50 per hour, plus 45c per mile per vehicle as
measured from the first and last stops for actual operations which
involve passengers. Deadhead runs are to be paid one-half regular rates.
A deadhead run is defined as any trip between the Company's storage
location for its buses at 2513 E. Higgins Road and the first passenger
pick up or the last passenger discharged location.
4. COMPANY RESPONSIBILITIES:
A. Insurance: The Company agrees to indemnify and hold harmless
the Village of Elk Grove Village, its Trustees, Officers, Officials and
and Employees from any and all losses, claims, actions, costs, expenses,
judgment, subrogations or other damages resulting from injury to any
person (including injury resulting in death) or damage (including loss or
destruction) to property of whatsoever nature arising out of or incident
to the performance of the terms of this contract by the Company (including,
but not limited to, its employees, agents, subcontractors and others
designated by the Company to perform work or services in, about or atten-
dant to, the work and services under the terms of this contract).
Insurance covering this indemnity agreement shall be provided by the
Company in the amounts and in accordance with the certificate of insurance
attached as Exhibit B.
B. Certificate of Operations: The Company shall furnish certified
evidence of its authority to provide the services mentioned in this
contract prior to placing the services into actual operation.
C. Equipment: The Company shall provide at least one (1) bus -type
vehicle, radio equipped, each having a seating capacity of up to 17
passengers. Each vehicle shall be maintained in a clean and safe operat-
Ing condition at all times.
D. Drivers: The Company shall furnish qualified and properly
licensed drivers to operate the vehicles furnished under this contract.
E. Revenue: The Company shall provide a written account of all
revenue received by each driver during the course of each day and remit
to the Village all such revenue received along with the invoice tendered
for services performed per Item 3 above.
F. Schedule & Routes: The Company shall determine the schedules
and routes to be used which will provide the most effective and
efficient service to the passengers and to the Village. The Village
Manager shall be promptly furnished with copies of passenger logs.
G. Scope of Service: The Company shall provide bus transportation
for persons seeking transportation within the residential and commercial
areas of Elk Grove Village b.,unded by Higgins Road; Tonne Road;
(Fleetwood, Shadywood, Wildwood); Devon Avenue and Meacham Road. Service
outside of these limits must first be approved in writing by the Village.
The local bus service shall be available between the hours of 8:00 A.M.
and 5:00 P.M. on all days except Saturday, Sunday and National Holidays.
Additional hours and/or days of service may be authorized by the Village

Manager with the consent of the Company.
The Company shall establish a local telephone number to receive
telephone requests from persons seeking to use the bus service. The
Company shall be responsible for determining requests to be serviced,
the sequencing of service and dispatching and scheduling of vehicles
to provide the most effective and efficient service possible con-
sistent with this contract.
It is agreed that the Company shall establish procedures for
handling requests for service which enhance and encourage the use of
the local bus system and furthermore to establish schedules and routes
which make the service available to the greatest number of passengers.
H. Records and Reports: The Company shall furnish the Village
with copies of the passenger log weekly.
1. Evaluation and Recommendations: The Company shall meet with
the Village Manager at least once each month during the Contract period
to express its evaluation of the local bus service and to offer recom-
mendations for improvements. At the end of the first three months of
service and again at the end of the first five months of service, the
Company shall submit to the Village Manager a written evaluation of the
local bus service and such recommendations for change as it deems
appropriate.
5. VILLAGE RESPONSIBILITIES:
A. Audit: The Village shall be entitled to audit the Company's
records relating to this contract for the purpose of determining compliance
with the contract and evaluating the effectiveness and efficiency of the
service.
B. Records and Reports: The Village shall determine from time to
time the nature and scope of records and reports to be maintained and
furnished by the Company unC_r this contract.
C. Evaluation: The Village shall determine the frequency and
methods to be used in evaluating the effectiveness and efficiency of
the service.
D. Fares: The Village shall establish the amount of fare to be
charged passengers for use of the service.

E. Tickets: The Village shall furnish for installation,
maintenance and use by the Company a sealed and metered fare box for
each vehicle. Any such fare box provided shall be returned to the
Village in good operating condition upon completion of this contract.
Passenger information as required by the Village shall be furnished
by the Company.
F. Publicity b Advertising: The Village shall be responsible
for publicity and advertising inconnection with the local bus service.
Only advertisements approved by the Village shall be permitted in or
on the vehicles, or on tickets or other materials produced for or used
in connection with the local bus service.
G. The Village shall give advance notice to the Company as to
all advertising and publicity. Only advertising jointly agreed to

1st Amendment to
Local Bus Service Agreement
1. PARTIES TO CONTRACT:
The Davidsmeyer Bus Service, Inc., hereinafter called the
"Company", an Illinois corporation, and the Village of Elk
Grove Village, hereinafter called the "Village", do hereby
mutually agree to amend the provision of the Agreement
first approved on January 8, 1974 by the parties as follows
and as indicated by underlining:
